It’s been said— a #contract is a #contract is a #contract- yes there are peculiarities in every industry but the biggest mistakes we see in IT contracts creating exposure for your #business are time honored provisions related to downside risk to direct and third parties, scope of work, IT #standards, #compliance, and limitation of liability and #licensing. Other #key provisions include choice of law and forum, #indemnity , alternative #disputeresolution… and others. Business TIPs : •Whether you are the end user, #ChannelPartner or #MSP take time to review your #IT #contracts with a competent #legal professional. Your agreement with the Channel partner is not just about #licensing — pay attention to what the rights and premises are when something goes wrong and especially what the requirements are when you want out of the contract. • Insist that your #MSP or your #business customer/end user (as the case may be) walk you through the material terms of your #IT contract or #MSA Read the fine print and in the case of the business person carefully review your MsP’s scope of work (SoW) • Make sure you are not liable for third party claims— what’s that mean— many times third party claims arise from circumstances you had no knowledge, responsibility or control over.
IT Services Contracts are Complex and Expensive- Buy the steak not the sizzle- have experienced counsel review before you sign- pull back the curtain and limit your company's liability.

A good reminder from John Ellison and team. It is very important to make sure these exclusions are limited. The goal is to avoid disputes with carriers and just have claims covered. When you have language like “based upon, attributed to, arising out of, in consequence of, or in any way related to” a contract/agreement or professional services, you give the carrier a lot of room to attempt to wiggle out of coverage.
