At the end of 2023 an independent review of University spin outs in the UK demonstrated what an important part of the entrepreneuriual growth eco systems these businesses are. The UK has the only technology sector worth more than US$1 trillion in Europe and spin outs form an important part of this. University spin outs have a lower chance of failure and in focussing in on some higher investment risk areas like life sciences they allow the UK to participate in industries of the future. 📣 We are excited to share our insights on the vital role of open source software and hardware repositories in patent examination for computer-implemented inventions. Despite their importance, incorporating these sources into examination practices has faced several challenges. 🗓 Over the years, initiatives like Open Source as Prior Art and Peer to Patent have aimed to create sustainable mechanisms for public participation in the patent examination process. However, these initiatives encountered obstacles such as the lack of verifiable timestamping, incomplete technical documentation, and difficulties in converting these sources into reliable patent information. Defensive publications and statutory mechanisms like the third-party observations phase at the European Patent Office also have limitations. We call on patent offices and policymakers to lead efforts in expanding databases with reliable open source prior art. In 2005 W. Chan Kim and R. Mauborgne in their book “Blue Ocean Strategies” developed the term of blue ocean strategies in contrast to red ocean strategies. In blue oceans, companies are developing strategies to enter into new markets with no competition. In contrast to already existing markets, which are very competitive markets, where companies try to distinguish themselves from competitors by competing in prices. Maia Edilashvili Biermann highlights the role of trade secrets in universities' commercialization activities. It is a really interesting piece! One additional item potentially facing at least U.S.-based academic institutions and startups receiving some form of federal funds or SBIR grants is the effect of the Bayh-Dole Act's mandatory disclosure and licensing requirements. Setting aside the much-debated march-in rights, a patentable invention that is subject to Bayh-Dole and maintained as a trade secret would remain subject to certain disclosure requirements. Even if the federal government opts out of pursuing patent protection, the disclosure would at least conceivably remain discoverable via FOIA processes after a grace period. This is not to suggest that all ancillary know-how and/or trade secrets would be subject to these requirements. However, the parsing of the "buckets" may not be easy task in any due diligence / valuation exercise.
IP-rich economies are increasingly interested in the substantial financial impact of the higher education sector's research and commercialisation activities. But it’s not an easy job for university technology managers to overcome stiff competition for a relatively small number of potential industry players who would be willing to take on early-stage innovation and in-license university IP. This is my first long read for IAM and it takes a close look at key challenges and potential solutions in this fascinating area, including positioning and valuating trade secrets and know-how strategically, forging a university-industry partnership, or creating a spin-out company to take R&D to market. For example, London’s universities produce a spin-out for every £35.4 million invested in R&D compared with £60.4 million in Boston, £54.5 million in New York, and £42.6 million in Los Angeles. Apart from interesting data and comments from various industry insiders, the piece features very useful insights from the head of technology transfer at the University of St Andrews, Christian Ziar, who has walked me through all the subtle nuances of these issues – and a huge thank you for that, Christian! 💡 “Although patents will give the detailed information on how the invention works, a lot of the refinement and a lot of the application and specific tuning of a particular process is actually in the know-how, confidential information or trade secrets," says Ziar.
