Counteroffer is commonplace. Meaning, most people have heard of the phrase. But what does it represent to the acquisition process?? Counteroffer indicates an opportunity and a hurdle. The opportunity is represented as being the next step before reaching an agreement. The hurdle represents not reaching an agreement unless the Counteroffer is accepted. Perspective: When reviewing initial offers here are a few quick considerations... Price & Terms: price is the amount someone is willing to pay and terms are how the amount is going to be paid. Both are relevant and should be considered independently of each other. Timelines: are the timelines presented considered to be reasonable? For example, as a business owner who is actively "on market", it's not recommended to agree to a longer period of exclusivity than needed. Funding Source: how is the buyer planning to fund the purchase? The answer to this question should be considered when responding to the initial offer. As a business owner, this is where having the right intermediary in your corner can make a million dollar difference. Sometimes the service you pay for really comes down to objectivity.

Education is important when it comes to collateral in business lending. The common misconception is that every bank lends on business acquisitions. Not true. If there is no private money available and the borrower does not have collateral to back the loan dollar-for-dollar, the only option tends to be the Small Business Administration (SBA). This pertains to deals under $5MM. Investment banks and private equity can also be utilized, but those options are generally interested in opportunities with $2MM+ in adjusted earnings. Settlement Statements are the Northstar of business transactions. This instrument should include all debits, credits, and withholdings. In addition, the settlement statement should outline net proceeds to the business owner before taxes. It's generally regarded as best practice to have all parties involved review this document independently of each other to verify its accuracy.
