There were 65 #hospital and #healthsystem #mergersandacquisitions deals announced last year, an increase from 53 in 2022. The rise reflects a growing momentum following a pandemic-related slow down, according to our recent M&A report. Here's a few mind-boggling stats from a Harvard Business Review study about M&As: - Companies spend over $2 trillion on acquisitions every year. - The M&A failure rate is 70% to 90%. Yes, you read that right... 70 to 90 percent. This demonstrates that we need to reconsider how we approach mergers and acquisitions across the board. With such a high failure rate, businesses must be doing something wrong. Samantha Reynolds focuses on the way storytelling can have a positive impact on M&As. She says "You need to paint a picture, through stories, of what the new shared normal looks like. By creating a portrait of the future that’s both real and appealing, you’re more likely to get buy-in from your skeptics—and get your employees eager to roll up their sleeves and make things work." Sometimes, being purchased by a private equity firm gives a growth-minded company the financial and operational resources to make multiple acquisitions. Mark Zweig authored an informative piece on mergers in this weeks Zweig Letter. https://lnkd.in/eKPPVZq3 This got me thinking of my own M&A experience and some lessons learned. What really makes me nervous about the term “merger” is the implication of equality that can result in glossing over the important details of two firms coming together. My own experience with a merger is negative while my acquisition experience is mostly positive by contrast. I joined a firm post-merger that had a toxic culture. Battle lines were drawn over the leadership, strategy, and operations of the two firms that came together. Many of these negative manifestations of the deal were still being experienced seven years after the firms merged! The dysfunction started at the top where the CEO (firm 1) and the Chairman of the Board (firm 2) demonstrated a lack of alignment. Operationally, too many details were not negotiated pre-deal that resulted in bitter power struggles for years post deal.      The moral of the story is don’t let the term merger lull you into a false sense of security. Successful integration, whether merger or acquisition, works best when it is carefully planned, and both parties have very clear expectations set prior to closing.  #mergersandacquisitions #leader #aecindustry #culture #ownershiptransition

"FAILURE IS NOT AN OPTION!" Wrong. Failure is ALWAYS an option, especially when it comes to mergers and acquisitions. As my friends and colleagues Katy (Herr) Hew and B.J. Talley well know, according to Harvard Business Review, 70-90% of M&A deals fail to achieve their financial and strategic goals. I've been involved with dozens of strategic transformations, and one of the biggest indicators of failure is bad (or insufficient) communication from the leadership of the acquiring company to the incoming employees. If you're a business leader, you need to retain key talent and keep them motivated so you can continue delivering for customers. How can you achieve that without talking to your new employees? Strategic communication is a small investment relative to the cost of failure for an M&A deal.
