Finally, a long-awaited respite from the day (and night) job. For the fortnight leading up to today’s Budget statement, my left eye was involuntarily twitching. Constantly. We witnessed some outrageous feats of lawyering at the AMP offices as we completed the last of a large number of pre-Budget transactions, across a range of sectors (SaaS, agri/propagation, engineering, creative agencies, haulage and two significant cross border deals). Clients were resilient, driven (sometimes belligerent!) but mostly just delighted to get their deals successfully delivered on time and within fee scope. The positive feedback was overwhelming, and also richly deserved. So how did I, as the lead partner on a number of these disposals/acquisitions, deliver those deals? Not on my own, that’s for sure. The same thing that allows me to relax now, in such blissfully calm surroundings, is the same thing which allows me to deliver my best at Austin Moore & Partners – our talented, committed, supportive and bloody brilliant team. You don’t see success without everyone pulling together and doing the extra hard yards to have each other’s backs and get stuff done, especially when the team is running leaner than we'd like at the moment. You don’t get to take a well earned break, without those same legends holding things down back at the ranch. I’ll do the same for them. Thank you team. WOW! Last night the Chicago PDA Chapter had another stellar in person educational event, hosted by Chapter Sponsor Grant Thornton( who just celebrated their 100th year anniversary; Congratulations to all). The topic, "Planning for Success: When Companies Should Have an Exit Strategy," was moderated by Sunil Taneja(Grant Thornton Principal, M&A Tax Services), with great commentaries from William J. Bettman(Shareholder/Attorney at Vedder Price), Barret Popst(Grant Thornton Principal, Transaction Advisory Services), and Alex Ring( Lincoln International Managing Director). Key takeaways included; -The current market is less frothy on deal flow -Be proactive, not reactive -Retirement, Estate Planning, Succession ,and Executive Team Compensation, are better dealt with earlier on to minimize tax consequences for all. -Have management depth in institutional knowledge -EARNOUTS- Avoid at all costs as they inevitably lead to a dispute and only to be used if "an earnout pool is tailored for outside management." Sunil defined EARNOUTS as "Deferred Litigation." -The biggest post closing dispute is in "the working capital adjustment." -Prepare upfront on accounting principles -The sale of a business does not happen overnight- As Gerry Lalonde has said in a recent post; "Get Your Ducks in a Row !"
