***Forget Change in Control… What is a CEO’s NPV Optimal Play in the #mergersandacquisitions Game*** This isn't #energy specific BUT we believe it is an interesting metric that no one really looks at... A few weeks ago we published a comprehensive M&A survey and results. Who gets bought, who is the buyer etc. Full details on website. In this note, we take a look at CEO CIC (Change in Control) provisions for the companies that folks had mentioned most as targets. What really matters is the CIC/ COMP ratio. Said differently, CEO A makes Y amount, their CIC is X. How long will it take them at a 2022 comp package equivalent to make the money offered in a change in control? Money isn’t everything and a corporate transaction isn’t at the CEO’s sole discretion. The Board ultimately makes the decision. But it nevertheless provides an interesting glimpse at who can pull forward a lot of NPV. We run this for Devon Energy/ Marathon Oil Corporation/ Southwestern Energy/ Targa Resources/ Diamondback Energy/ Oxy/ Matador Resources Company/ Ovintiv/ Plains All American/ Permian Resources/ Range Resources. Why those companies? They were most mentioned in survey and had at least a 30% vote of being a takeout. Many go both ways. 70% believe DVN is a buyer for example, NOT a seller.
