“What is governance?” A question governance professionals often get asked, am I right?! CGI’s company compliance and administration text book, offers this definition: “Governance is the processes and procedures by which an organisation is directed and controlled and, in particular, the way that senior management and the board of directors are structured, exercise their authority, have transparent and accountable processes and interact with investors, employees and other stakeholders.” It’s a good one, comprehensive for sure. But this one from Samira Sadeghi, Director of Governance at the Confederation of Schools Trusts, who’s work as a lawyer on Death Row has shaped her as a trust governance professional, really resonated with me: "For me, governance is literally every decision everyone makes at every level." This perspective underscores the pervasive nature of governance, highlighting its presence in every action and decision within an organisation. How do you define governance in your organisations?
