FTC Non-Compete Ban Enjoined Nationwide -- Today, August 20, 2024, Judge Ada Brown, a Texas USDC judge, issued a nationwide injunction prohibiting the implementation of the Federal Trade Commission ("FTC") Rule that would have essentially banned existing non-compete agreements and precluded the adoption of new restrictive covenants. A federal judge in the U.S. District Court for the Northern District of Texas has issued a preliminary ruling enjoining the Federal Trade Commission’s (“FTC”) recently enacted rule prohibiting non-compete clauses. A final ruling is expected in August. The FTC ban on non-competes is big news indeed though I have to say I’m not surprised. Too many people came out against them for the FTC to ignore. This ruling will be challenged for sure. But if you haven’t started preparing for this potentially huge shift in the way departing employees are going to view this (as in “woohoo!!! I can take clients, customers and all the stuff I worked on with me when I go!”) please get started now. There are of course other ways to protect trade secrets, including with our #insurance! Add this to the SECs requirement that public companies disclose when a “material” asset is exfiltrated from the company and there seems little choice other than to determine which assets qualify as trade secrets before they walk out the door (then you can value them, apply proper measures commensurate with that value and let people know those assets are YOURS).
