Although many forces have changed the M&A landscape over the last few years, data suggests Biden's antitrust policy has played a role in chilling strategic M&A. During the first few years of the Biden administration, both the rate and total number of "intra-industry" deals have fallen. At the same time, Second Request rates for same-industry deals have increased, and parties now abandon about 35-45%+ of deals subject to Second Requests. These trends are especially pronounced with respect to strategic deals in the life sciences and health care industries. Below is an article I wrote with Harry Robins and Eden Sung that analyzes the antitrust obstacles that may be slowing the pace of strategic M&A, and how deal professionals can navigate them.
