🚨 Avoid a ₹3 Lakh Penalty! 3 Essentials for Holding General Meetings on Shorter Notice 🚨 1️⃣ What’s a General Meeting? In simple terms, a General Meeting is where Shareholders gather to discuss and make decisions on important company matters. It’s a crucial aspect of company governance. 2️⃣ What is Shorter Notice? Normally, a General Meeting needs a 21-day notice as per Section 101(1) of the Companies Act, 2013. But for Private Limited Companies, this can be shorter if their Articles permit and if they have the required consents. 3️⃣ Do You Need to File Consents for Shorter Notice? While there’s no clear rule to file consents with the Registrar, a recent case showed why it’s wise to do so. A company was fined ₹3,00,000 because they didn’t attach member consents with Form MGT-14 for a meeting held on shorter notice. 👉 To avoid penalties, make sure to include member consents with your Form MGT-14 if you're holding a General Meeting on shorter notice.
