We are delighted and proud to share that on February 29, 2024, our Senior Partners, Ahmad Zakaria as Head of Securities and Corporate Compliance Practice Group, Reggy Firmansyah as Head of Natural Resources and Specific Industries Practice Group, and Melati Siregar as Head of Litigation and Alternative Dispute Resolutions Practice Group, were honored to be invited by PT Perusahaan Gas Negara Tbk (PGN) to be the speakers at the "Workshop Pengelolaan Kontrak Jangka Panjang" held at Hotel Mason Pine, Bandung. The event was attended by the President Director of PGN, the legal team of PGN, and PGN's subsidiaries. During the three-session presentation, in session 1, Ahmad Zakaria discussed compliance with capital market regulations relevant to PGN. Ahmad Zakaria emphasized the importance for PGN as a publicly listed company to ensure that every transaction complies with capital market obligations, ensuring that the implementation of PGN's long-term contracts maintains transparency for PGN's investors. In session 2, Reggy Firmansyah shared insights on identifying issues and risks in drafting PGN's long-term contract regarding Liquified Natural Gas (LNG) sales and purchase. He explained important general clauses that should be included in a contract agreement, as well as technical clauses that need to be considered in drafting business contracts to reduce legal risks for PGN as a seller or a buyer of LNG. In session 3, Melati Siregar discussed the essentials of drafting dispute resolution clauses in commercial contracts and the key steps in managing disputes, including the necessary measures to ensure anti-corruption compliance in handling disputes. This entailed a lively exchange of questions and answers with the participants on the intricacies of dispute resolution in the oil and gas business. We are pleased that the participants were actively engaged, asking questions, and providing feedback, demonstrating their enthusiasm throughout the session. The workshop concluded with a case study prepared by us, which was intended to encourage participants to discuss, exchange ideas, and share their insights. We hope that our presentation has adequately prepared the entire legal team of PGN and its subsidiaries to ensure the implementation of PGN's long-term contracts complies with the latest relevant laws and regulations. #WeSpeakYourLanguage

"Key pieces of legislation that foreign investors must navigate include the Capital Investment Law No. 25/2007 and the Construction Services Law No. 2/2017. These laws set the foundation for how foreign entities can operate in Indonesia’s construction industry, specifying the requirements and limitations for foreign ownership and business operations. For a foreign company to legally engage in construction activities in Indonesia, it must establish a local presence. This can be done by setting up either a Foreign Investment Limited Liability Company, commonly referred to as a PT PMA, or by registering a Representative Office for Construction Services, known as RO BUJKA."
