We’re kicking off with our first post this month, and we’ll discuss GmbHs. If you’ve checked our website, you’ve noticed that this is our recommendation to clients who have decided to launch a business in Bulgaria. Below, we’ll list the reasons why, so keep reading. GmbH is an abbreviation for “Gesellschaft mit beschränkter Haftung”, which, translated into English, means “company with limited liability” or what you may know as LLC. know as LLC. ◾ There’s no restriction regarding the number of people listed as company owners. ◾ The sole shareholder can be the sole manager of the organisation. You can take full responsibility for running the business. ◾ There’s also no need for the mandatory presence of a Bulgarian shareholder, director or secretary. In that sense, the entry barrier for foreign companies is lower, making it easier for businesses to expand in Bulgaria. ◾ There are no annual fees to maintain the company’s incorporation, minimising operations costs. ◾ Lastly, and regarding business expenses, the share capital can be as much as €1. The shareholders aren’t liable for company debts beyond the company’s share capital as well. Supreme Court privileges ordinary language over legalisms in Sale of Goods Act decision "All provinces and territories apart from Quebec have legislation that prescribes default conditions for transactions involving sales of goods. The provisions addressed in Earthco are the implied condition that goods sold by description will correspond with that description (the so-called “identity” of the goods), and implied conditions relating to quality (fitness for purpose and merchantability) where certain pre-requisites apply.
