Non-Competes froze many people at crappy employers. Most people thought they had to leave the business. NCs are fairly easy to navigate, but this requires a 23-minute conversation. Even then, the Salesperson had the "what-if" scenarios. $600/hour for an Attorney to deal with the general counsel of a billion-dollar company is frightening. So I'll stay here in my bad commish plan and dream. Also, big-box loved to have those former employees they sent cease-and-desist-letters run to their friends back at big-box and discuss it. That was free marketing to freeze others in fear. Did you hear what happened to Scot? They are SUING him. Sue was never going to happen; Big Box doesn't want a court trial b/c their non-compete would be tossed and set up stare decisis (the fancy Latin word for legal precedence). The Sword of Damocles is gone.

Brenda here. It looks like the non-compete agreement has taken a significant legal blow. Personally, I had a non-compete for one of my early positions. It was an entry-level, life-dominating, low-paying role, and I was told I couldn't work anywhere else like it for two years after I left unless I was terminated. Even then, I heard rumblings that it was most likely not enforceable. Even so, it was definitely a career inhibitor early on for someone new to these types of agreements--with a company owner at that time who talked a good game about the trouble I would be in. At it's worst, I also have a friend who applied to work at a sandwich shop as a delivery driver. As a condition of employment, they expected him to sign a non-compete so he could not work for a "rival" sandwich shop to protect proprietary business informaiton. I am grateful for the FTC’s efforts to ban non-competes. In my view, non-competes have overstepped their bounds in our free-market nation, even barring part-time sandwich shop employees from seeking employment at other sandwich shops. Here’s a thought: If your product or service is so derivative that an employee can exit your company, adhere to all confidentiality agreements and IP protections, yet still inflict significant damage on your business, then you have bigger problems than a wayward employee. https://lnkd.in/dmGpzT2e

E.D. Pa. much anticipated decision came out today, in ATS Tree Services, v. FTC, and it refused to enjoin the FTC's non-compete ban! Attention turns back to the Texas court which already enjoined the FTC ban but would not enter a nation-wide ban. With the ban set to take place on September 4, every business with non-competes or whose competitors have non-competes, should be spending some time in August monitoring court developments, and coming up with a contingency strategy if the FTC ban does go into effect, which would likely be for a short period of time at most (perhaps at most six months until new President is sworn in, possibly much shorter by another court challenge). One company's challenge will be the well-prepared competitor's opportunity.

Recent News Regarding FTC Ban on Non-Competes The proposed FTC rule banning non-competes has been a hot topic in the business world, and the comment period has officially ended. Now we wait for the FTC to issue a Final Rule, with the possibility of it being released in April 2024. While we don't know what the Final Rule will say, the FTC's advocacy for a full ban suggests that employers should prepare for a Final Rule similar to the proposed one. Now THAT'S some breaking news! I have been working with people taking lesser jobs or changing industries to wait out a non-compete, to the detriment of everyone. I've always believed that if you can't compete on your offerings, you shouldn't win. Now there's at least a chance the cream will rise. Go start some new businesses! #legaltech #startups

The Headline of the day yesterday, and early this morning, is the FTC's vote to ban non-competes. It's an interesting argument on both sides, I see merit in some use cases and situations for there to be some form of non-compete. There are some industries and firms that have legitimate trade secrets, with lots of valuable IP and investment in some employees that would suffer heavily if they were to leave or were poached. There are good, honest, employers that could be affected by it. The FTC Reference NDAs from previous employers covering this angle, but if you think a new employee isn't talking about what their old firm was doing on day 1 you're dreaming. Conversely, it's clear some industries and firms are flexing their legal muscles, bullying individuals and operating in bad faith. There has to be something done regarding those tactics as it's ruining lives, careers, and completely stifling innovation. Overall, a tricky problem, and ultimately one that needs some form of addressing. I'd be incredibly surprised if this actually ends up in a blanket NC ban, there's a lot more ball left to be played here in my opinion. Interested to see where it goes. What are you all thinking?
