Investment bankers are changing their fee structures to safeguard and boost M&A revenues as large deals face increased regulatory challenges. Instead of getting paid after a transaction closes, advisers at major U.S. banks are pressing clients to get paid even if a deal is blocked by regulators, while increasing service fees generally, according to Reuters. Increased economic protectionism from both sides of the political aisle has also become a growing risk to cross-border deals in politically sensitive industries like tech and manufacturing. Goldman Sachs, JPMorgan Chase and Morgan Stanley are asking clients to pay as much as 25% of the breakup fee on some transactions depending on their size, up from the historic average of 15%, according to dealmakers Reuters spoke to. Investment bankers have pocketed about USD 2bn from financial sponsors this year, with sources anticipating that figure will climb in 2H24 to pre-pandemic levels. On the one hand, there is that cray amount of dry powder - USD 2.6trn, as per S&P Global. On the other, there be aging assets that need to be monetized. As IPO markets beckon, and hungry corporates eye portfolios - now is as good a time as any. Leading the charge for the top-ten IB banks? We're not gonna say. You should guess by now. But we salute Houlihan Lokey and Deutsche Bank which crept into that elusive list unseating Citi and Barclays Investment Bank The good news?
