I am a seasoned advisor specializing in ESG matters, with a particular focus on corporate governance, legal considerations, and stakeholder engagement and a private investor.
The week started with general shareholders meetings in Romania and Austria and continues with Poland. There are interesting items on the agenda, many of the referring to a refresh of the composition of the members of the board. How important is gender balance for listed companies? How important is gender balance for institutional investors voting in portfolio companies?
During this week there are 5 general meetings (GMs) called for companies covered by Valgreen SRL: - 29 January: ordinary GM called by Transelectrica (#TEL), listed on Bucharest Stock Exchange (BSE), having only a presentation on the agenda. The GM took place in Bucharest and the company did not provide webcasting or electronic voting - 29 January: extraordinary GM called by S IMMO AG (#SPI) listed on Vienna Stock Exchange for new material changes at the level of the board. The GM took place in Vienna, Austria and the company did not provide webcasting or electronic voting - 31 January: extraordinary GM called by PGE Polska Grupa Energetyczna (#PGE) listed on Warsaw Stock Exchange for changes in the composition of the Supervisory Board. The GM takes place in Warsaw, Poland and the GM is webcasted - 1 February: annual GM called by EVN AG (#EVN), listed on Vienna Stock Exchange. The GM takes place in Enzersdorf, Austria and the company did not provide webcasting or electronic voting - 2 February: extraordinary GM called by PKO Bank Polski (#PKO) listed on Warsaw Stock Exchange for changes in the composition of the Supervisory Board. The GM takes place in Warsaw, Poland and the GM is webcasted Institutional investors need to prepare their documentation for voting for next weeks GMs for 2 companies listed on BSE: - 8 February: ordinary GM called by GRUP SERBAN HOLDING S.A. (#GSH) for extending the mandates of two members of the board. The GM takes place in Filipesti, Romania and the company does not provide webcasting or electronic voting - 13 February: extraordinary GM called by Fondul Proprietatea SA (#FP) for the approval of a new buy-back programme and for an authorization to sell several important portfolios companies. It would be nice to become a link in such an SMR chain.
This new development in cooperation follows the Joint Declaration of Cooperation signed last year by the Minister of Industry and Trade Jozef Síkela and the former UK Energy Security Minister Andrew Bowie, which aimed to promote cooperation between the two countries in this area and to involve Czech companies in the supply chains of this innovative, high value-added technology.

Germany has been referenced many times as a cautionary tale of magical thinking in energy policy, with feel-good pronouncements that lack practical substance. The article below details the direct results of this wishful thinking - high electricity/energy prices as the leading factor in de-industrialization and economic woes. Neighboring countries, which noticed the trend of Germany relieving itself of reliable baseload sources of power while also compromising its energy security with large volumes of Russian NG, have decided to build up their nuclear capacity (Czechia, Poland, Hungary, France, Slovakia, Netherlands, Sweden) and are capturing Germany's leaking industrial base. The solution remains based in energy fundamentals of long-term cost-effective, reliable, secure, and sustainable energy.
