Does your business utilize noncompete agreements? Maybe non-solicitation clauses in your employee contracts or handbook? If the answer to either of those questions is yes, your business practices are are going to need to change. Businesses have long been prohibited from utilizing noncompete agreements and non-solicitation agreement in California. Today, the Federal Trade Commission voted to ban non-competition agreements nationwide with few exceptions. The new rule makes it more difficult - but not impossible - for business owners to protect their businesses. If you're one of the businesses that utilizes any form of noncompete agreement, it's not too late to take steps to protect your business and trade secrets and prevent a future lawsuit. Delicate subject, but I have helped numerous people workaround their #NonCompetes (including myself!) over the years. I’ve always felt there were valid applications for employees truly involved with Design, Formula or Trade Secrets. However, so many Noncompetes were given to Sales and Business Development professionals that were more of a #Control or #ScareTactic than truly protecting the company. This will be interesting to see how it plays out 🤔 https://lnkd.in/g4w3D-A4

This is pretty big news: Barring impact of litigation on the matter, nation wide there will be no new non-competes. If you have active non-competes with employees or former employees that are not senior executives (i.e., earn more than $151,164 in compensation a year and are in a “policy-making position”), you may soon need to send notices that such non-competes are unenforceable. There will still be an exception for non-competes with the seller of a business. Here is the small business compliance guide.

"The final rule does not apply to non-competes entered into by a person pursuant to a bona fide sale of a business entity. In addition, the final rule does not apply where a cause of action related to a non-compete accrued prior to the effective date.16 The final rule further provides that it is not an unfair method of competition to enforce or attempt to enforce a non-compete or to make representations about a non-compete where a person has a good-faith basis to believe that the final rule is inapplicable. The final rule does not limit or affect enforcement of State laws that restrict noncompetes where the State laws do not conflict with the final rule, but it preempts State laws that conflict with the final rule. Furthermore, the final rule includes a severability clause clarifying the Commission’s intent that, if a reviewing court were to hold any part of any provision or application of the final rule invalid or unenforceable—including, for example, an aspect of the terms or conditions defined as non-competes, one or more of the particular restrictions on noncompetes, or the standards for or application to one or more category of workers—the remainder of the final rule shall remain in effect."

I recognize the rationale behind non-compete agreements and the challenges they pose to employment. While I fully support NDAs for safeguarding sensitive information, it will be interesting to see how organizations adapt to the ban on non-competes. As employees move to competitors or start their own ventures, companies will need to find new ways to protect their intellectual property. https://lnkd.in/guNFGhtP.
