Interesting piece on the relatively new phenomenon of private equity firms owning stakes in professional partnerships. Time will tell as to whether the model works for the medium term for the mid-sized accounting firms including those represented here in Aberdeen. The obvious conflict between the interests (and egos😉) of professional fee earning partners and the usual private equity model of •invest-grow-sell• will need careful handling to avoid value erosion. Two weeks after the awards ceremony, the trophy for Financial Adviser Micro-firm of the year has finally made it's way to the office in Teesside. We talk a lot about our mission at New World Financial Group and about the benefits to financial planning. However, before we agreed our mission, and even before New World, Sam Tate and I talked about a different goal: To build the best financial planning firm in the country. There's still a lot of work to be done, and, as always, it's a journey, but being named micro firm of the year feels like a significant step on our route to achieving this goal. This speaks for itself. If you want to grow, build invest or transform. Below is a simplified masterpiece of the power of a board observer and how it will transform your mind.
If you are a mid-level manager with an ambition to move to the next level, make efforts to see if there are opportunities where you can serve as a Board Observer even on a pro-bono. In other words, you can attend board meetings without a voting right. A Board Observer gets the same information as other directors, including board meeting minutes, etc, but the individual is not a member of the board, implying that the person does not have a fiduciary duty to the company or its shareholders. You may know someone in the church, mosque, professional club, etc, and you know a CEO with a decent company, you can seek to be considered in his/her company. You need to demonstrate the value you will deliver for this unpaid service! If someone can give you that opportunity, it will help you see things differently. When you attend Board Meetings, you will notice that most times, it is about finance. Largely, you will begin to understand how everything in a company is designed to converge into three main documents - balance sheet, income and cash flow statements. You need to understand how to read those documents to be an important member of that board. Yes, except as an expert Board Observer (you are there as a subject matter expert, like tech expert, growth expert, etc), understanding how finance works is important. Chairman Tony Elumelu gave this village boy-teacher opportunities, and those shaped his ambitions. This photo was during a board meeting on the TEEP $100 Million fund. Weeks before, I was in similar meetings for the banking giant, UBA Group. Those reconfigured my understanding of highercareers, businesses and markets. Without those meetings, we will not have Tekedia Capital. Today, I mentor many young people as we invest $millions yearly in their companies. #ConnectHigher

I have enjoyed part of my time-off in my last vacation reading "Barbarians at the gate: The fall of RJR Nabisco", book that was written by Bryan Burrough and John Helyar and first published in 1989. It narrates behind-the-scenes details on leveraged buyout (LBO) of the company RJR Nabisco just a year before issuing of this text and came to my knowledge as a recommendation from a Corporate Finance Professor, João William Grava. Far from being a dreary technical book, "Barbarians at the gate" is rather an witty account of decision-making process of Wall Street players involved in the bidding LBO battle by that time. Yet, while such reading offered a perfect break to me, it also had explicited underlying connections between that case and my learning both in work and study. Cash flow performance plays a central role on any acquisition, whether by RJR Nabisco back in the eighties or textile industry nowadays, which is more keen to my current daily routine. Such capital restructuring imposes moderation regarding cost management, and "Barbarianas at the gate" stresses fairly practical implications of being on a tight ship. Beyond that, I, as an Economist, was caught in low elasticity of demand premise implied by cash flow projections on R. J. Reynolds side. Revenue from this division would be fundamental for debt payment after bid acceptance. Moreover, RJR Nabisco bidding process itself recalls me on subject of sequential games in the Game Theory. In this case, strategic moves among players are impacted by level of knowledge. Such decisions could be supported, for instance, by conditional statements in Python language articulating Weighted Average Capital Cost (WACC) method. Hence, I can affirm that "Barbarians at the gate" reading has offered to me a pleasant pause from overwhelming screentime. At the same time, maybe even by virtue of improving my attention span, it has given me many insights on FP&A subjects which keep shaping my professional journey. #CorporateFinance #LBO
