EQT Corporation and Equitrans Midstream Corporation have announced a game-changing merger, creating a vertically integrated natural gas powerhouse with an enterprise value exceeding $35 billion. This all-stock deal, valuing Equitrans at $12.50 per share, is set to unlock $250 million in annual synergies, with identified pathways to additional synergies totaling more than $425 million. The financial impact is significant, with a projected pro forma 2025–2029 cumulative free cash flow generation of approximately $16 billion. Additionally, the integration will bring about operational efficiencies, including financial and corporate cost savings, production optimization, and capital efficiencies. Debt management is also a focus, as the merger eliminates $11+ billion of future liabilities and targets a long-term debt of $7.5 billion. ONEOK Finalizes Purchase of Magellan Midstream Partners The $18.8 billion #merger between #ONEOK and #Magellan received approval from Magellan shareholders, securing just 55% of the total votes at Magellan’s meeting. ONEOK Inc. completed the acquisition of Magellan Midstream Partners LP on Sept. 25, creating a substantial midstream company valued at $60 billion. The acquisition, a cash-and-stock deal worth $18.8 billion, merges ONEOK's natural gas and NGL portfolio with Magellan's refined products and crude oil transportation assets.  Deal Overview • The merger creates a leading midstream company with a market capitalization of around $40 billion.  • The combined entity will control over 25,000 miles of liquid transport pipelines and substantial assets in the Gulf Coast and Midcontinent regions.  • The deal is anticipated to positively impact ONEOK's EPS starting in 2024, with an estimated annual EPS growth of 3% to 7% between 2025 and 2027.  • The merger is forecasted to result in annual savings of at least $200 million due to realized synergies. The combined entity now holds over 50,000 miles of pipeline infrastructure, connecting to nearly 50% of the U.S.' refining capacity, and unifying their extensive expertise and assets primarily in liquid transportation. Q2 saw just shy of $40 billion in new mergers and acquisitions agreed worldwide for upstream oil and gas assets.
