DID YOU KNOW? that the Code of Governance for State Corporations (Mwongozo, 2015) lists legal compliance audit and reporting as a governance parameter? Chapter 8 of Mwongozo requires State Corporations in Kenya comply fully with the Constitution, all applicable laws, rules and regulations and in line with accepted national and international standards and international standards, as well as, the internal policies of the organization. Clause 8.4 of Mwongozo lists legal compliance audit and reporting as a governance parameter and proceeds to list the governance practice that the Board of Directors should ensure as: • That a legal compliance audit is carried out at least annually; • That the recommendations in the legal compliance audit report are implemented; • That a comprehensive and independent legal audit is carried out, at least once every two years; and • That the Board files compliance reports on all statutory obligations in each quarter to the responsible Cabinet Secretary and the State Corporations Advisory Committee.
