The Nigerian Code of Corporate Governance 2018 describes the responsibility of a Chairman of a Board of Directors as one of providing leadership of the Company and the Board. The Chairman is responsible for ensuring the effective operation of the Board and this involves the Board of Directors working together to achieve the Company's objectives. A Chairman is also expected to provide guidance to the Managing Director/Chief Executive Officer (MD/CEO). The Code recommends that the Chairman’s functions should include the following: - Presiding over meetings of the Board of Directors and general meetings of stakeholders; - Agreeing an annual Board plan with the Board; - Ensuring that the agenda for Board meetings is set; - Ensuring that the Board and its committees are composed of individuals with relevant skills, competencies and desired experience; - Ensuring that Board meetings are properly conducted; - Ensuring that the Board is effective and functions in a cohesive manner; - Ensuring that induction programmes are conducted for new Directors and a continuing education programme is in place for all Directors; - Ensuring effective communication and relations with the Company’s shareholders and other stakeholders; and - Taking a lead role in the assessment, improvement and development of the Board. Addressing the unspoken challenges—often the "elephant in the room"—demands a high degree of emotional intelligence. This skill is essential both within formal meetings and in more informal settings. In one of Dr. Rita Kabatunzi 's comment, she advised that; it’s critical not to rush to disengage after the formalities conclude. Instead, take note of why certain directors remain behind. What are they withholding from the discussion? What nuances might be escaping your attention? These subtle cues often reveal underlying issues that aren’t captured in official minutes or conversations. This reflection aligns with last week's insights on the art of listening. EC2024: Major Pitfalls and Hindrance in Corporate Governance in Malawi John Robson Kamanga MSE CEO highlighted major pitfalls and hindrances in corporate governance in Malawi. He indicated that poor board composition, poor disclosure, reporting, and unaccountability are some of the major pitfalls. He further defined Corporate Governance as structures and systems that must be put in place for the proper direction of the company. Malawi has serious problems with boardroom skills. Many people who are appointed as board members lack the basic knowledge and skills to run effective board business. Unfortunately, the Institute of Directors in Malawi (IoD) is not functional to at least help directors up their skills. Most board members do not undergo effective induction training during their appointment to the board. We have no institute to provide oversight on directors. Only a few boards conduct annual board evaluations. Corporate Governance remains one of the popular topics in Malawi and globally but least understood by many so-called Corporate Governance experts. For State-owned companies, board appointments are mostly based on party lines not skills and knowledge. My wishful thinking is Malawi with a functional Institute of Directors that would advocate for the adoption of Malawi Governance Code II and annual board evaluation.
