🚨 Importance of Due Diligence in Board Appointments 🚨 A recent article from Business Live brought to light a crucial aspect of corporate governance - the thorough vetting of board members’ qualifications. The case of a well-known economist, whose credentials were questioned, serves as a stark reminder of the risks associated with inadequate due diligence. This not only poses a threat to a company's reputation but also questions the integrity of its leadership. Prof. Parmi Natesan, CEO of the Institute of Directors in South Africa (https://www.iodsa.co.za/) highlights the importance of this vetting process. It's not just about ticking boxes; it's about safeguarding the company's future and upholding high standards of governance. Prof. Natesan quotes the recommendation 19 under the Nomination, election and appointment of members to the governing body which reads: "Prior to their nomination for election, candidates' backgrounds should be independently investigated, and their qualifications should be independently verified". She further adds that it is a good practice to "independently verify the backgrounds and qualifications every three years". The Nigerian Code of Corporate Governance 2018 describes the responsibility of a Chairman of a Board of Directors as one of providing leadership of the Company and the Board. The Chairman is responsible for ensuring the effective operation of the Board and this involves the Board of Directors working together to achieve the Company's objectives. A Chairman is also expected to provide guidance to the Managing Director/Chief Executive Officer (MD/CEO). The Code recommends that the Chairman’s functions should include the following: - Presiding over meetings of the Board of Directors and general meetings of stakeholders; - Agreeing an annual Board plan with the Board; - Ensuring that the agenda for Board meetings is set; - Ensuring that the Board and its committees are composed of individuals with relevant skills, competencies and desired experience; - Ensuring that Board meetings are properly conducted; - Ensuring that the Board is effective and functions in a cohesive manner; - Ensuring that induction programmes are conducted for new Directors and a continuing education programme is in place for all Directors; - Ensuring effective communication and relations with the Company’s shareholders and other stakeholders; and - Taking a lead role in the assessment, improvement and development of the Board. The Code also recommends that a non-executive director (NED) assume the position of the Chairman of a Company and to avoid involvement in the day-to-day operations of the Company. #corporategovernance #Nigeria #corporate #business #company

I recently had the privilege of attending the 2nd National Corporate Governance Summit 2024, organized by the Institute of Directors Centre for Corporate Governance (IoDCCG), along with several esteemed bodies, including the Financial Reporting Council of Nigeria (FRC) and the Institute of Chartered Secretaries and Administrators (ICSAN). The summit provided an invaluable platform for industry leaders, experts, and professionals to explore strategies that can effectively drive national economic transformation. The discussions illuminated a roadmap for achieving impactful governance, stressing the importance of partnerships across key sectors (public and private). The summit emphasized that strong governance practices are essential to Nigeria's national transformation, fostering trust, transparency, and accountability. As we continue to strive for a better future, it is imperative that we all recognize the critical role of governance in driving national transformation. I am grateful for the insights shared at this summit and eager to see how these discussions translate into actionable policies that will shape a brighter future for Nigeria.
