Many of our clients have already sought advice regarding the U.S. Small Business Administration's release of its Tribal Consultation announcement published to the Federal Register. That notice not only provided for a schedule of Tribal Consultations, but also included anticipatory rulemaking regarding Mentor-Protégé Program participants’ ability to perform GWACs beyond five years. To be clear, these comments by SBA have yet to make the rulemaking phase as required under the APA. However, GovContractPros, LLC is seeking to build a broad coalition of both protégés and mentors to help SBA understand the impact of these rule changes if such changes are made. We anticipate coalition members will benefit from clear and actionable guidance for any rule changes, assistance with contracting officer inquiries for current GWACs, and the opportunity to influence small business policy on future GWACs. The WOSB prime contract goal of 5% has only been met TWICE in the WOSB Program's history. Yes, that's right -- two times EVER. Will the Government meet its WOSB goals in FY2024? It remains to be seen. It can be an uphill climb in the Federal marketplace for WOSBs and EDWOSBs. Set-asides under the WOSB Program are not plentiful and sole source contracts are a unicorn. On March 1, 2024, in the case of National Small Business United v. Yellen, No. 5:22-cv-01448 (N.D. Ala.), a federal district court in the Northern District of Alabama, Northeastern Division, entered a final declaratory judgment, concluding that the Corporate Transparency Act exceeds the Constitution’s limits on Congress’s power and enjoining the Department of the Treasury and FinCEN from enforcing the Corporate Transparency Act against the plaintiffs. FinCEN is complying with the court’s order and will continue to comply with the court’s order for as long as it remains in effect. As a result, the government is not currently enforcing the Corporate Transparency Act against the plaintiffs in that action: Isaac Winkles, reporting companies for which Isaac Winkles is the beneficial owner or applicant, the National Small Business Association, and members of the National Small Business Association (as of March 1, 2024). Those individuals and entities are not required to report beneficial ownership information to FinCEN at this time. An OMB nudge for small, disadvantaged businesses. OMB issued guidance to increase small business participation in federal contracts, especially multiple-award contracts. Specific actions called out in the memo include increasing small business participation in multiple-award contracts: earlier involvement of SBA’s Procurement Center Representatives (PCR) and the agency small business specialist in the development of multiple-award contracts and express consideration during acquisition planning of on-ramps; consideration of the relative proportion of anticipated small business contract holders on multiple-award contracts; and clarification of the “rule of two” for order placement. “In advance of any finalization of such regulatory amendments, which will be subject to notice and comment, OFPP encourages early agency adoption of these management steps, which can help agencies in meeting the SDB contracting goal they negotiated with SBA for FY 2024.” https://lnkd.in/exgy6bA6

On August 23, 2024, the U.S. Small Business Administration (SBA) posted a proposed rule to update and clarify aspects of various SBA small business programs, including but not limited to the HUBZone Program and 8(a) Business Development Program. A major theme of the proposed rule is promoting uniformity across the size and status certification programs. SBA has taken feedback from small businesses that “improvements are needed to make its socioeconomic contracting programs more uniform, in order to relieve burdens associated with compliance with multiple programs.” Read more about this rule change in this great piece from Crowell & Moring: https://lnkd.in/e4ReFS6p

Breaking News!! National Small Business Association members!!! A judge ruled in favor of NSBA in Lawsuit over Corporate Transparency Act (CTA). As a result, the government is not currently enforcing the Corporate Transparency Act against the plaintiffs in that action. According to the latest FinCEN news release, members of the National Small Business Association (as of March 1, 2024) are NOT required to report beneficial ownership information to FinCEN at this time.
