On April 23, 2024, the FTC announced its Final Rule to ban non-compete clauses. The Final Rule was set to become effective September 4, 2024. The Final Rule would prohibit an employer from entering into, or attempting to enter into, a non-compete clause with a “worker” (including, e.g., employees and independent contractors) or representing that a worker is subject to a non-compete clause. **Pause Before Announcing the End of Non-Compete Clauses** It's crucial to pause before making announcements regarding the termination of non-compete clauses. There has been much misinformation circulating about administering this change, and I'm here to offer some tips: 1. The Final Rule will go into effect within 120 days of publication in the Federal Register - NOT 120 days from 4/23/2024 2. Lawsuits have been filed to challenge this. The district court handling the lawsuit could grant a temporary restraining order or preliminary injunction against the rule. This will stop the enforcement while it is being contested. 3. If the rule does become effective for senior executives, existing noncompete agreements can remain in force. 4. If the rule becomes effective, employers must inform workers about non-compete clauses' unenforceability in writing. 5. Other agreements can be put in place to help protect trade secrets. 6. Prepare for a change.
