🧬🥛 ZYDUS TO ACQUIRE 50% OF STERLING BIOTECH FROM PERFECT DAY AND OPEN ANIMAL-FREE DAIRY FACTORY Californian precision fermentation startup Perfect Day has agreed to sell 50% of its stake in Mumbai-based STERLING Biotech Ltd. - India – a leading manufacturer of pharmaceutical gelatin and fermentation-derived ingredients – to Zydus Group for ₹550 crore ($66M), with the business now becoming a joint venture. The move will give both companies equal representation on the board, and shift Sterling Biotech’s focus towards animal-free protein production, according to local media. Perfect Day and Zydus are now planning a dedicated precision fermentation facility to supply to global markets. It comes two years after Perfect Day – which makes precision-fermented whey protein for use in animal-free dairy – bought Sterling Biotech from bankruptcy in a $78M deal. Zydus’s purchase comes at a 70% premium, on the back of record revenues for the manufacturer in 2023. The joint venture “sends a strong signal to the broader biopharma sector”, according to Aiyanna Belliappa, senior innovation and entrepreneurship specialist at The Good Food Institute India, who called Zydus’s strategic partnership with Perfect Day “extremely encouraging”. “Aligning with the Indian government’s forward-thinking BioE3 policy, this development further solidifies India’s position as a global leader in biomanufacturing for healthcare, food, and nutrition,” he told Green Queen. Sterling Biotech, one of the world’s largest pharma gelatin producers, was admitted into insolvency in 2018, and went into liquidation a year later. After an auction process, Perfect Day emerged as the winning bidder, signalling its interest in India’s precision fermentation sector and manufacturing capabilities. “This partnership allows Perfect Day to significantly boost its capabilities to meet the demands of the fast-growing global market. #ZydusLifesciences has entered into a significant agreement with Temasek-backed Perfect Day to acquire a 50% stake in STERLING Biotech Ltd. - India. The deal will establish Sterling Biotech as a 50:50 joint venture (JV) with equal board representation from both parties, according to a statement from Zydus Lifesciences. Under the agreement, Zydus Animal Health Limited, a wholly owned subsidiary of Zydus, will acquire 322 crore equity shares of #SterlingBiotech, each valued at Rs 1, representing 50% of the company’s paid-up share capital. The newly formed JV plans to build a cutting-edge manufacturing facility focused on producing fermented, animal-free protein to serve global markets. This acquisition marks Zydus’ entry into the specialized biotech sector, targeting health and nutrition products for consumers who prefer or require animal-free protein, including those with lactose intolerance. The joint venture aims to boost the production of high-quality, eco-friendly protein products, align with growing consumer demand for fermentation-based and ethically sourced nutrition, and reduce environmental impact. Following the news of its letter of no questions or objections from the FDA in the US for its cell-cultured whey protein product, #precisionfermentation #dairy startup Imagindairy also acquired and is operating its own industrial-scale production lines. The new production lines and the associated downstream processing capabilities give the startup access to 100,000 liters of fermentation capacity, with planned expansion to triple the volume in the next 1-2 years. With the new production lines and FDA letter, Imagindairy expects to launch a beta-lactoglobulin whey product in the US this year. FLORIDA GOVERNOR VETOS LEGISLATURE'S PROPOSED RESTRICTIONS ON HEMP-DERIVED PRODUCTS Florida Governor Ron DeSantis just issued his formal veto of Senate Bill 1698, which lawmakers passed during the 2024 legislative session. SB 1698, sought to make several substantive changes to Florida’s Hemp Program, including: · REVISING the definition of “hemp extract” to include hemp intended for inhalation and to prohibit it from containing statutorily defined controlled substances, as well as any quantity of synthetic cannabinoids, e.g., delta-8- or delta-10 THC; THCA, HHC, THCV or THCP; · CREATING a definition for “total delta-9-tetrahydrocannabinol concentration” to mean a concentration calculated as: delta-9-tetrahydrocannabinol] + (0.877 x [delta-9-tetrahydrocannabinolic acid]; · AMENDING the definition of “hemp” to “outline that hemp extract may not exceed 0.3 percent total delta-9-tetrahydrocannabinol concentration on a wet-weight basis or exceed 5 milligrams per serving and 50 milligrams per container on a wet-weight basis, whichever is less; · SPECIFYING that if a hemp extract product is sold at retail it must meet the new requirements for total delta-9-THC concentration limits, and the packaging must include the toll-free telephone number for the national Poison Help line; · PROHIBITING a business or food establishment from selling or possessing hemp extract products that are “attractive to children;” and · REQUIRING that before holding an event where hemp extract products are sold or marketed, an event organizer must provide the Florida Department of Agriculture and Consumer Services with a list of the businesses selling or marketing hemp extract products at the event and verify that each business is only selling hemp products from an approved source. The event organizer also must ensure that each participating business is properly permitted. The legislation also would have prevented existing retailers of hemp-derived products from removing or using, except for disposal, hemp extract products subject to a stop-sale order which are attractive to children until the Ag-Department determines that the hemp extract products comply with state law. This was especially concerning to industry members who currently hold hundreds of thousands of dollars work of hemp-derivative products in inventory. The Governor's veto statement noted that small businesses are the cornerstone of Florida's economy. For years, Afghanistan has been the world's premier cultivator of poppy used as the base for heroin distributed in Europe, Africa and Canada according to the key findings of the United Nations Office on Drugs and Crime's (UNODC) World Drug Report 2024, while the Americas have largely been supplied with product derived from poppy plantations in Mexico and Colombia. With the Taliban retaking power in April 2022, the new Afghan government instituted a strict ban on the cultivation of poppy, not only curtailing the supply of illicit substances like heroin but also that of medical prescription opioids. As a result, potential opium production dropped by 95 percent between 2022 and 2023 to 333 tons. As our chart based on UNODC data shows, this change makes Myanmar the country with the highest opium production potential in 2023. The Southeast Asian country more than doubled its estimated capabilities in this segment compared to 2021 and is trailed by Mexico with a potential production of oven-dry opium of 166 in 2022, with estimates for the past year still outstanding. While Laos and Colombia are grouped into other countries in the chart due to limited data availability. However, they contributed to global opium production with 41 tons in 2019 and 18 tons in 2018, respectively. Apart from the U.S. invasion of the country in 2001, the cultivation of poppy has been a significant part of Afghan agriculture for the past decades, rarely dropping below levels of 2,500 tons of estimated opium produced between 1994 and 2022. While the curbing of the production capabilities of drugs like heroin can in theory be seen as a net positive, many farmers in the country heavily relied on their poppy fields for their monthly income, and the resulting increasing prices for heroin gave rise to new and arguably more dangerous substances like fentanyl. https://lnkd.in/euYi7ub7
