Today, the company announced its purchase of Highway Materials, Inc. a #leading aggregates and asphalt producer in the Greater Philadelphia market. This acquisition includes four crushed stone quarries, nine hot-mix asphalt plants, two clean-fill operations, a concrete #recycling #facility, a construction services business, and over 350 employees. Earlier this month, Heidelberg Materials expanded its presence in Texas by acquiring VICTORY ROCK TEXAS, LLC, known for high-quality aggregates, and Aaron Materials, an established concrete recycler and materials producer. These acquisitions enhance Heidelberg Materials' existing operations in key markets while supporting its commitment to sustainability and the circular economy. DONE DEAL🤝🇮🇪 🇺🇸: CRH has finalised its US$2.1 billion acquisition of Martin Marietta Materials' Texas, USA, cement and ready-mixed concrete assets. The deal, first announced on 21 November 2023, includes a 2.1 million tonnes capacity cement plant between San Antonio and Austin, a network of terminals along the Eastern Gulf Coast of Texas and a portfolio of 20 ready-mixed concrete plants with annual shipments of around 1.6 million cubic yards serving the Austin and San Antonio markets. The combined portfolio of assets was expected to generate pro-forma 2023 EBITDA of around $170 million. In February this year, Ash Grove, A CRH Company, announced the closure of its prchase of a cement plant and four terminals from Martin Marietta's South Texas business. The purchase includes the Hunter Cement Plant located in New Braunfels, Texas, with a capacity of 2.1 million tons and more than 140 years of limestone cement reserves, and four terminals: three in the Houston metropolitan area and one terminal in Beaumont, Texas. Serge Schmidt, Ash Grove President, stated the acquisition represents a significant milestone in the company's growth strategy. "Securing these resources bolsters Ash Grove's status in Texas and amplifies our presence in a rapidly expanding market. The Hunter facility's high-quality assets align with our long-term focused growth plans. A BIG DEAL🤝💰🇮🇪 🇦🇺: CRH, the Irish building materials major, has entered a binding agreement to acquire Adbri Limited in Australia in partnership with the Barro Group Pty Ltd. The binding agreement, which follows due diligence over the past two months, will see CRH buy the remaining 57% of ordinary Adbri shares not owned by Barro Group for the previously agreed cash sum of A$3.20 per share. The Offer values Adbri at an equity valuation of A$2.1 billion (US$1.4 billion) on a 100% basis and values the approximately 53% of issued share capital that the Partners do not currently have an interest in and which CRH has agreed to acquire at A$1.1 billion (US$0.7 billion). Albert Manifold, chief executive of CRH, said: “We are pleased to reach this important milestone in the potential acquisition of Adbri in partnership with the Barro family. Adbri is an attractive business with high-quality assets and leading market positions that complement our core competencies in cement, concrete and aggregates while creating additional opportunities for growth and development for our existing Australian business. We look forward to working with the Barro family over the coming years to enhance the long-term growth and performance of Adbri.” The proposed transaction is expected to be completed later this year. SAINT-GOBAIN: CO ANNOUNCED A DEFINITIVE AGREEMENT TO ACQUIRE FORSOC, A GLOBAL CONSTRUCTION CHEMICALS, FOR $1,025 MILLION (APPROXIMATELY €960 MILLION) IN CASH #Saint-#Gobain has announced a #definitive #agreement to #acquire #FOSROC, a global construction chemicals company, for $1,025 million (approximately €960 million) in cash. This acquisition is expected to create value by the third year and will expand Saint-Gobain's presence in #India and the #Middle East. The acquisition will #strengthen Saint-Gobain's worldwide presence in construction chemicals, which will have combined sales of €6.2 billion across 73 countries following the acquisition. FOSROC is a leading player in India, one of the most #attractive construction #chemicals markets, and has a strong geographic footprint in the Middle East and #Asia-Pacific. The purchase price represents an acquisition multiple of approximately 11.3x FOSROC's 2024 estimated #EBITDA of $91 million, which will be reduced to 7.1x when including expected #synergies of $54 million by the third year. The acquisition is expected to be value-creative for Saint-Gobain's shareholders and customers, with $39 million in cost synergies and $15 million in growth synergies.
