There are bad weeks, and then there are B. Riley-level bad weeks. Shares of the boutique investment bank fell over 50% Monday after it reported quarterly losses of up to $475 million and disclosed an ongoing SEC investigation into its dealings with Brian Khan, former CEO of The Franchise Group -- a retail holding company responsible for B. Riley's heavy losses last quarter. Plenty of ink has been spilled on B. Riley backing Kahn in his $2.6 billion take-private of The Franchise Group last summer, and about Kahn's role as an unindicted co-conspirator in the U.S. Department of Justice’s Nov. 2023 fraud charges Kahn’s partner John Hughes in the $294 million implosion of Prophecy Asset Management. But less is known about one of B. Riley and Kahn's earlier partnerships: Babcock & Wilcox, a little-known energy construction company that the two investors teamed up on 2018. And now, B&W -- whose CEO is a B. Riley executive -- is being accused by company whistleblowers and aggrieved vendors of "systematically" stiffing subcontractor for millions of dollars, and of commingling funds between different B&W business lines. The allegations raise new questions about B. Riley's battered finances and of its stewardship of B&W as its controlling minority shareholder -- and what it and Kahn were up to before he exited the scene. Berkshire Hathaway is set to hold its annual meeting on Saturday in Omaha, Nebraska, where shareholders will hear from CEO Warren Buffett and other executives for about five hours. Some of the key topics that are likely to be discussed at Berkshire's widely followed annual meeting include: - Plans for when Buffett is no longer running Berkshire. At age 93, Buffett has acknowledged he’s playing in “extra innings,” so shareholders will look for more clarity on how things will run in his absence. - How Berkshire expects to use its $168 billion in cash. Is now the time to initiate a dividend or are share repurchases still the preferred method for returning cash to shareholders? - Buffett will also get questions around the current investment landscape and how he views issues such as higher interest rates, stubbornly high inflation, and even the boom in artificial intelligence. - Potential liabilities Berkshire faces from wildfires in its electric utility businesses will also be a focal point for shareholders. Berkshire’s PacifiCorp faces billions in liabilities from Oregon’s 2020 wildfires and Buffett wrote in his annual shareholder letter that he would not “knowingly throw good money after bad.” The meeting is the first since Buffett’s longtime partner and Berkshire vice-chairman Charlie Munger died in November at the age of 99. The death of #CharlieMunger, Warren Buffett’s right-hand man at Berkshire Hathaway Inc (NYSE:BRK.B), has brought an outpouring of praise but also a sharper focus on the investment giant’s succession plans. After #WarrenBuffett took over what was a struggling textiles firm in 1965 he started the shift towards becoming an #investment holdings company with the acquisition of insurance company National Indemnity Company and stakes in the Washington Post Company and first moves into the banking sector, with the strategy refined and developed after Munger joined in the late 1970s. Munger, who was widely credited for helping steer the ship into more profitable waters by refocusing on companies which weren’t just cheap but offered longer-term value, does raise questions about succession, and Buffett made an appointment in 1999 of someone who was seen as a potential successor, David Sokol.
