US GoM Deal Alert! Karoon Energy and Westlawn Group have teamed up to acquire 30% and 25% respectively in the Who Dat and Dome Patrol fields through a series of transactions with LLOG Exploration Co and a private entity partner. Karoon is paying US$720MM, while details of Westlawn's side of the transaction are confidential. This deal represents the debut of Karoon in US GoM, while Westlawn continues its buying spree. Selling down stakes in projects is a standard part of LLOG's value creation strategy, while its partner is able to monetize its portfolio and exit US GoM. Until now, Karoon was a Brazil-focused independent, producing around 30,000 bbl/d - this deals adds approximately 10,000 bbl/d and provides a platform for further growth. For Westlawn, this is part of its acquisition-led growth strategy, adding 2 new producing assets to its portfolio. This is the second transaction in US GoM this month, following Waldorf Production PLC's divestment to an un-named buyer. While future licensing opportunities are limited, this deal shows the region remains attractive from a fiscal standpoint and its robust opportunity set.

Unlocking value for REE projects across Australia… As part of ASM’s mine to metals strategy, we’re seeking to develop the Dubbo Project as a rare earth and critical minerals separation and refining ‘hub’ – capable of processing materials from third parties through to high purity oxides. Building on this objective, we recently executed an Option Agreement with Caspin Resources Limited. The Agreement sets out the opportunity to enter into a joint venture agreement to earn up to 75% of the rare earth element #REE rights in Caspin’s Mount Squires Project in WA. We’re currently in the Initial Option Period of the Agreement and will undertake metallurgical testwork on existing samples to understand whether the material from Mount Squires could be suitable for processing at our Dubbo Project. Mount Squires is a large scale, greenfield-style gold and base metal project that lies within the West Musgrave region of Western Australia and is 100% owned by Caspin. Caspin discovered significant REE mineralisation on the project in 2023, the first discovery of REE in the West Musgrave Province. As Australia builds its position within the global #criticalminerals sector, ASM can provide the sovereign capability that will drive the development of midstream processing – extracting more value from our resources on shore and supporting the creation of diverse, resilient and sustainable supply chains.
