At Watson, we can appreciate Waitzer’s perspective on the pivotal role boards have in shaping organizational futures – for better or worse. Here are our reflections after 20+ years of guiding 500+ organizations towards great governance: 1. Purpose-driven Governance: Governance isn't just about creating policies and following practices; it's about aligning key decisions with the organization's purpose. Boards must ensure the organization has a clear and compelling purpose that defines what the organization stands for and why it exists, which in turn drives strategic decision-making and long-term success. 2. Characteristics of High-Performing Directors: Beyond technical skills and industry experience, there are specific and identifiable attributes exhibited by exceptional directors that enhance decision-making and collaboration. Identifying these qualities, both individually and collectively, is key to assembling a high-performing board. 3. Collaboration with Management: The board can’t fulfill its mandate alone and must strike a delicate balance between collaboration and oversight with their CEO. Building trust while holding management accountable helps ensure the board's impact aligns with the organization’s strategy and purpose. If you’re reading this and wondering how you spot an effective board, here’s our 3-fold view on what to look for: 1. Directors and Dynamics: Assess the diversity, skills, and dynamics of the board members. Do they engage effectively and bring unique perspectives to the table? Are there structures and practices in place to support good decision-making? 2. Relationship with Management: Evaluate how the board interacts with senior leadership. Does management see the board as a partner, or as a roadblock? Is there open communication and mutual respect? A healthy relationship fosters transparency and strategic alignment. 3. The Work of the Board: Examine how the board spends its time. Are decisions driven by the organization’s purpose and strategy? Are roles and expectations with management clearly understood? Boards that are aligned on the big picture and engage management on the right issues at the right time at the right level add value. We echo Waitzer's call for a shift towards critical thinking in governance practices. By focusing on purpose, director attributes, and collaborative relationships, organizations can foster resilient boards that navigate challenges and seize opportunities with confidence.
