Publicly traded companies must state if a cybersecurity incident has occurred and if it materially affects their financials. But how can we tell if a company's security is truly that good? United Healthcare recently stated that a cybersecurity incident wasn't material and was a state sponsored attack. However, questions remain. Have they completed a full investigation? On May 21, 2024, the director of the Division of Corporation Finance of the SEC issued a statement relating to the recent SEC cybersecurity disclosure rules that require public companies to disclose the occurrence of material cybersecurity events on Form 8-K under a new Item 1.05.
