Each of the three pre-deal due diligence phases impacts the ultimate success of a lower-middle-market transaction, says Clay Brownlee, CPA, a Partner at Boulay, a long-time partner to participants in the Entrepreneurship-Through-Acquisition (ETA) market. Brownlee says "Once you sign the LOI [Letter of Intent], that starts the clock" on three phases of a typically 90-day period of exclusivity between buyer and seller of a business. The first phase is typically commercial due diligence, followed by Boulay's specialty, quality of earnings. The third pre-deal phase is typically legal due diligence. The quality of earnings phase is often accompanied by other due diligence streams, such as insurance and technology, says Brownlee. "It's important to have those [diligence] teams lined up early in the process, and to make them aware of the deal so that they can start thinking about how they fit into your timeline," says Brownlee. "The more thoughtful that commercial diligence process is, more success the transaction is likely to be." "You may have findings in that commercial diligence phase that impact not only when you turn on other process, but what you would like them to validate during their process," adds Brownlee.
