🚀In the fast-evolving world of emerging technologies, clear laws and regulations often lag behind innovation, leaving businesses vulnerable to uncertainty. Carefully drafted contracts can serve as a powerful tool to help mitigate these risks. When preparing contracts for emerging technology projects it’s important to: 🛡️ Clearly outline the roles, responsibilities, and expectations of all the different parties involved. Spell out who owns what intellectual property rights ( and how these can be exploited), detail obligations and rights around personal data and any periods of exclusivity. ⚖️ Use the contract to allocate risks. Which party is responsible for what part of the services, reflect the innovative element of the project (and the risks it entails) and seek to effectively and reasonably limit liability. 📜 Include provisions that require ongoing compliance with current and future regulations. Clearly set out where any specific information or existing regulations are being relied upon. 🔄 Build in mechanisms for contract adjustments, allowing for quick pivots in response to new regulations or industry standards. 🤝 Include shared goals and commitments. "EU Consumer Law and Automated Decision-Making (ADM): Is EU Consumer Law Ready for ADM?", very interesting interim report published now in December 2023 by European Law Institute (ELI).👇 This report examines the adaptability of the European Union #consumerlaw framework in response to the widespread integration of #Automated Decision-Making (#ADM). The assessment focuses on sustaining effective #consumerprotection within an evolving #digitallandscape where #digitalassistants play an increasingly prominent role. Simultaneously, the report explores how the legal framework can foster the utilization of #innovative #technologies in consumer markets. Outlined within the report are eight principles for ensuring that European Union #consumerlaw is well-prepared for the age of #digitalassistants. These principles encompass issues such as: ▪ attributing a #digitalassistant's actions to a consumer; ▪ applying #consumerlaw to #algorithmic contracts; ▪ pre-contractual information duties; ▪ non-discrimination; ▪ #disclosure duties; ▪ protection of #digitalassistants from manipulation; ▪ determination/ disclosure of parameters in #digitalassistants, and ▪ addressing conflicts of interest. Additionally, the report delves into the operation of key European Union #consumerlaw directives in scenarios involving consumer deployment of #digitalassistants. It proposes recommendations for modifying these directives to facilitate the seamless integration of #digitalassistants, asserting that the directives are almost '#ADM ready' and require minor adjustments to eliminate potential legal obstacles.
