Today IQE announced the planned initial public offering (IPO) of our Taiwan subsidiary on the Taiwan Stock Exchange. IQE plans to retain control of IQE Taiwan through a majority stake, while continuing to leverage its strategic value.   This strategic move will enable us to raise capital to accelerate the implementation of the growth initiatives set out at our Capital Markets Day.    An IPO of IQE Taiwan will allow us to maximise the value of our asset while continuing to offer a secure and resilient supply chain for our global customers, and the proceeds can be used to upgrade and expand the production capacity across our strategic global sites, enabling IQE to meet the growing demand for GaN power and scale operations effectively in line with customers.      This move enables us to double down on our commitment to providing high-quality products, and our excellent customer service remains unchanged.

SEBI amends minimum promoter shareholding clause: Securities and Exchange Board of India has allowed non-promoter shareholders to contribute towards the shortfall in minimum promoters’ contribution in an initial public offering without being identified as a promoter. SEBI has heard the industry on this point, as this change will benefit companies, especially new age tech companies, where promoters often do not hold majority of the company’s share capital. SEBI has also allowed convertibles securities held by promoters for at least a year, to be used for the promoter lock-in. Non-promoter shareholders excluding individuals holding more than 5% of the post-offer equity share capital can contribute towards the shortfall. The promoters will still need to hold at least 10% post-issue. Sebi has further also allowed a key change in the pricing of preferential allotments and qualified institutional placements(QIPs), as part of its new rumour verification framework that comes into effect from June 1 for the top 100 listed entities. The new rule requires listed companies to verify market rumours upon material price movement. The new change in pricing now allows adjustment to the price to exclude material price movement due to market rumours.

Japfa’s founder’s family, through special purpose vehicles TAC 1 and TAC 2, has offered to privatize the company at S$0.62 per share, representing a 34.8% premium to its last traded price on Jan 15 and a 12.7% premium to its net asset value as of Sep 30, 2024. The Santosa and Kolonas families, who already control 81.7% of Japfa shares, seek to acquire the remaining 18.3%, citing benefits such as cost savings from delisting and increased flexibility to focus on long-term strategies. The offer also exceeds Japfa’s historical traded prices, with premiums of up to 93.1% over its 12-month volume-weighted average price as of Jan 15. Shareholders holding 4.4% of the company’s shares, including key executives, have committed to supporting the proposal. “China’s securities regulator has raised the bar for companies seeking an IPO on the Shanghai Stock Exchange’s science and technology innovation board, as it seeks to improve the quality of listed companies amid a stock market rout that’s sent the benchmark SSE STAR 50 Index tumbling more than a quarter over the past year. The China Securities Regulatory Commission’s (CSRC) guidelines for evaluating companies’ qualifications to list on the STAR Market was updated on Tuesday to incorporate greater emphasis on investment in research and development and commercialization of their technologies. The update is aimed at implementing the State Council’s new guidelines on supporting the high-quality development of the capital markets, as well as the CSRC’s new rules that tighten listing controls to improve the quality of listed companies, the regulator said in a statement accompanying the update.” “The STAR Market guidelines were first released in March 2020, and have been updated every year. The most recent update adjusts three out of the four main metrics for evaluating a company’s eligibility for an IPO on the STAR Market, including raising the threshold for total R&D investment in the past three years to 80 million yuan ($11.3 million) from 60 million yuan. The number of a company’s marketable patents applicable to its main businesses should be at least seven, up from five in the previous version, which did not include the marketization requirement. The compound annual growth rate for revenue in the three years before listing should be 25% or higher, up from 20% previously. The CSRC ‘supports and encourages’ science and technology companies that meet all four criteria to apply for a listing on the STAR Market, according to the guidelines. Pharmaceutical and software companies can get exemptions from some of the requirements.” “But the door is still open for companies that don’t meet all four criteria. The guidelines set out five alternative qualification metrics and companies are still encouraged to apply for a STAR Market listing if they can check off one of the five. Under the 2023 guidelines, one of the five qualifications was to have more than 50 patents relevant to a company’s main businesses. The updated guidelines add a condition that the patents should have market potential. At the end of April, the STAR Market had 571 listed companies with a total market capitalization of 5.3 trillion yuan, data provided by the Shanghai Stock Exchange show. The SSE Star 50 Index, which comprises the top 50 companies traded on the board as determined by market value and liquidity, fell to a low of 635.7 in February from just over 1,000 in early July 2023, although it has since recovered and closed at 767.5 on Tuesday.”

GELEX BECOMES MAJOR SHAREHOLDER OF EXIMBANK 📌 GELEX Group Corporation (HoSE: GEX) has officially become a major shareholder of Eximbank after acquiring over 89 million shares, raising its total ownership to 174,6 million shares, which represents 10% of the bank's charter capital. 📌According to GELEX’s announcement, the transactions took place on August 7-8, 2024, during which GELEX purchased 50 million shares followed by an additional 39 million EIB shares on the Ho Chi Minh City Stock Exchange.
