Banking M&A faces hurdles due to regulatory complexities, slowing down transformative deals. Societe Generale's joint venture with Bernstein Research Services, announced in 2022 and completed recently, exemplifies this challenge. GlobalCapital's corporates, markets and sustainability editor, Jon Hay, believes that despite the straightforward nature of the deal, legal and regulatory intricacies prolonged its completion. The overgrowth of compliance procedures is evident across the industry, hindering swift execution. As mergers become more daunting, stakeholders call for regulatory reform to facilitate smoother transactions and revive market dynamism. There are few business events as challenging as a corporate transaction. But whether it’s an acquisition or a divestiture, handled the right way, it can deliver significant business benefits to stakeholders. Some treasurers may only experience a corporate transaction a few times in their careers. Others may work within a highly acquisitive business. But in all cases, treasurers need to ensure they have an input into the deal from the earliest stage to ensure treasury benefits are identified and maximised alongside their assessment of broader business benefits. In our latest article, we look at five ways that treasurers can add value to corporate transactions. https://okt.to/L9pRoH The Cash Management Hub is produced by the ACT Policy & Technical team and created with Barclays Corporate Banking. We are working together to provide treasurers with useful insight and resources on a range of cash management topics.

My article on 'The Bank of England and the "prehistory" of corporate governance' has just been published in Business History. It traces most of the contents of the 1992 Cadbury Report to discussions inside the Bank of England in the early 1970s. It explores how and why the Bank worked to promote adoption of non-executive directors and institutional investor engagement, and highlights how corporate governance around the world today could have been very different without the Bank's efforts. It is available open access at https://lnkd.in/e6fTifF4
