I think that one of the key points that Jeremy King makes in this article which talks about his new restaurant The Park is the importance of “control”. One of my pet loves is advising on the structure of a restaurant group and control is often the key battle ground. But what does control actually mean? What Jeremy is talking about is having a big majority stake in the voting share capital of the company that owns the restaurant. If you own more than 50%, you control the board and you effectively control the restaurant. However, that is more difficult to achieve when you have a group of restaurants under the one holding company and you need more institutional cash to build and roll out a group concept. Institutional investors tend to give the founder a free reign, but will insist on “negative control” mechanisms, under which the board / Founder can propose anything, but in relation to key matters (like raising capital, amending the articles, hiring execs, litigating or winding up), the institutional investors consent will be required. Hence, the only way to grow a group of restaurants like Jeremy is doing where you try to maintain control is to either (i) use your own money (ii) use different companies for each restaurant or (iii) resist giving negative control rights.

It will be interesting to see how New Yorkers react when in November all the dining sheds are taken down for the winter, and they once again, for the first time in years, see our streets open and uncluttered as they were before Covid. Will it make people less enamored of the sheds once they realize what was lost to enable them? It will also be interesting to see how the restaurants react. Will they find that the sheds were not essential to their bottom line (especially factoring in the cost of taking down the sheds, paying 5 months of storage and putting them back up every year)?

They are on track to top $1.1 trillion this year, a 5.4% increase from 2023’s record-high level, according to the National Restaurant Association, an industry group. Historically, restaurants have been perceived as risky tenants; however, with changing consumer spending habits caused by rising wages, low unemployment, and the emergence of “foodie culture,” food service leases have become a powerful force in the retail real-estate sector. In the past year, more than 19% of retail leases were allocated to food services, marking the highest proportion for any category since 2007.
