The SEC adopted new and amended rules requiring new disclosures when a special purpose acquisition company (SPAC) conducts an initial public offering (IPO) and when it combines with a private operating company in what is known as a de-SPAC transaction, among other related changes. While GovCons are good investments for a variety of reasons, executing a successful transaction can be challenging. During a panel discussion, participants shared real world tips for a successful GovCon M&A transaction.

I am excited to share our SEC Regulatory team's Defining Issues summary article relating to new rules for SPACs, target companies in de-SPACs, and shell companies that I had the pleasure of working on this past week. I was able to attend Wednesday's open meeting, and it was hard not to get the sense that some rulemakers and participants feel these regulations are overdue for a lifecycle that is misaligned with the traditional IPO one. These rules and requirements certainly close that gap. However, others seem to feel that this is over-tightening that will effectively dampen the SPAC market (already down to 43% of IPO activity in 2023 after levels of over 50% in preceding years) by significantly raising the barriers for initiating SPACs and ultimately bringing target companies to market. There is a lot to unpack in the lengthy rulemaking (nearly 600 pages). Rule 433 provides for specific FWP content requirements, notice legends and SEC filing requirements for any FWP.
