I've often said that in the lending business it's not "just about the transaction" but having the opportunity to touch and change people's lives. Friday we closed a transaction on 18 buildings where both the buyer and seller are both clients and friends of mine. This is the 1st tranche of a multi-tranche transaction and exit strategy to help the seller exit the day to day of managing a real estate portfolio meticulously built over 40 years, piece by piece. The seller was looking to exit day to day real estate management and also for the tax benefits of a 1031 exchange. This will be accomplished by doing a 1031 exchange into a DST instead of directly investing in buildings. The buyer is adding a nice portfolio to his empire. Hudson Valley Credit Union ($7B) is acquiring Catskill Hudson Bank ($500M) for $28.6 million. But Catskill reported $39.5 million in equity as of September 2023 or about 72% of value. We continue to see the reality of consolidation of depository lenders and two things come to mind. First: Bank-Bank M&A is happening less frequently because these deals don't make economic sense and in this case $0.72 on the dollar is approved by the bank (how low would a bank offer need to be). Second: Because credit unions have to pay cash, it is requiring about a 10x larger credit union to acquire the bank. This is limiting the pool of potential acquirers and banks should be concerned. 1740 Broadway, famously known as the 'Mony Mony' tower, witnessed a significant shift in ownership and value over the years. Originally sold by Vornado to Blackstone for a remarkable $605M in 2014, the Deco property underwent a re-appraisal in 2023, valuing it at $175M. Recently, Yellowstone Real Estate acquired the nearly empty building for $185M, marking a substantial $420M decrease in value. An important trend to highlight is the impact on CMBS bondholders. The note sale resulted in the complete elimination of all five CMBS non IG creditors, while AAA tranche creditors received less than 75% of their initial investment back.
