**Looking for recommendations: Treasurer (Penningmeester, Raad van Toezicht)** Unfortunately, we'll have to part ways with our current wonderful Treasurer, so we are looking for recommendations for an experienced finance expert to take up this role in Systemic Justice's governance. Who are we looking for? 👉🏾 Ideally, we’d like to work with someone who has hands-on experience managing/overseeing the finances of a non-profit organisation. We’ve found that it is helpful if the Treasurer understands how things work for an organisation that is funded by foundation grants, and that may in the future pursue EU and potentially government funding. 👉🏾 Such experience within the Netherlands would be highly beneficial, though we can consider someone who has done this work in other jurisdictions and knows the right questions to ask. 👉🏾 For our team, governance, and external providers, we seek to work with people who have lived experience with systems of oppression. What are we asking? 👉🏾 3 meetings per year: one in person at one of Systemic Justice’s team retreats (1-2 days), two online (2 hours each) 👉🏾 Overseeing/supporting the annual financial audit – this means reviewing the accounts and engaging with the auditor. This will always depend but should not add up to more than 1-2 days in total as we have an experienced finance team leading on this. What do we offer? 👉🏾 The opportunity to be part of the further building of the first Black-led, majority BPOC organisation in Europe building strategic court cases with community partners for racial, social, and economic justice. 👉🏾 A modest remuneration (“vacatiegeld”) as allowed by the regulators for organisations with ANBI (public benefit organisation) status. 👉🏾 To this, I should add that we always pick lovely locations for our team retreats 😊 and that there is the option of being more involved in our process of developing a community accountability model etc. if the person has the interest and time. It was lovely to discuss the interim world for finance professionals with Jan Nallathamby ACMA, CGMA, MSc moderated by Gary Simon for #FSN Though I am sure the same themes apply to other groups. What is key to getting the most out of any contract role is to make sure you are listening to the existing team, getting to know as many people as possible early on, and a willingness to ask stupid questions. Also, make sure you plan for periods of not working. You should build up savings and have other activities that help to keep your skills tuned up. As a consultant, how much of yourself should you give? Some clients it feels correct to only give your professional experience and opinion (or at least to present any opinion you have in that manner). Others I find get a lot more from a understanding on a personal level how you have dealt with the issues that you are advising them on. Charity is a very emotive sector. Most of us who end up in leadership roles here do so because they have personal reasons to stay, and even the financial and strategic decisions that they have to take are affected by those reasons in one way or another, for better or for worse. Corporate accounting often does have a 'correct' answer, but only because of the profit motive. Its why I could never survive in that world, because I cannot reconcile that with my own beliefs. Charity accounting is way more messy and complex. Some clients need you to provide assurance that, despite all the other uncertainties, the systems will continue to do what they need to do. Other clients need you to provide assurance that the tangled mess of risk and compromise that they are dealing with really is how these things work.

A "good" director that's passive is as "bad" as one that's greedy or lazy. Of course, there are degrees and deeper aspects to this, but the point is that an indifferent director is not fulfilling his or her duties, and while the question of whether he or she is a "good", "bad" or "ugly" director merits a closer look, the role requires engagement, loyalty and vigilance, as well-stated in the article by Grant Thornton, regarding non-profit boards. The advice is equally applicable to for-profit boards, regardless of jurisdiction. These are basic and fundamental requirements, but sadly, I've seen many board members that simply "attend" without engaging, thereby accommodating or enabling all sorts of malfeisance by their inattention, indifference and inaction. "Bad" board members may not be the root cause of such malfeisance, but they're certainly a contributing factor and an ineffective control. This is why governance matters.

Currently, the concept of governance is defined as a set of rules, standards, and procedures necessary to be applied in any enterprise; to ensure a high degree of transparency, financial and administrative disclosure, participation in decision-making, accounting, and follow-up with full clarity in powers, rights, and duties .
