Voting Without Sufficient Attendance: What's at Stake? Understanding the implications of insufficient attendance in company meetings where a minimum number of participants is crucial: ➡️ Ordinary Resolutions: These require a simple majority, but their validity hinges on maintaining the initial required attendance throughout the decision-making process. ➡️ Special Resolutions: These crucial decisions require a higher level of consensus and must be supported by continuous adequate attendance to ensure their enforceability. ➡️ Unanimous Resolutions: Demand near-total participation, reflecting their significant impact on community governance. It’s conference season! We just returned from a fabulous conference last week and are off to another this week. I don’t know about you, but I am a conference nerd. I drink allllll of the Kool-Aid when I’m there and am totally present and am an active note taker. So here’s the rub: when I return to work from conference travel, I’m behind and need to “get back to work,” and everything I learned at the conference and my notes go to a dark, dusty place. I can allocate time in team meetings to discuss, or perhaps have each person provide a summary or presentation as to what she learned, but I haven’t implemented any of these strategies yet. Tell me, LinkedIn hive, how do you make sure all of that learning gets out of your head and the notepad and into your work and shared with others? How to we capitalize on our conference efforts? PS - looking forward to seeing some of our closest friends in the legal recruiting community at NALSC: the National Association of Legal Search Consultants’s Symposium this week! #nalsc2024 #conferenceseason #bestpractices #whatsyouropus

ANNUAL MEETING PROGRAM SPOTLIGHT Success as a lawyer depends upon connections—authentic connections with colleagues, clients, judges, juries, and peers. At any law firm, up to five different generations may be working side-by-side and there inevitably are "sticking points." The "sticking points" are based on differing viewpoints on work-life balance, one's role in an organization, and, in large part, the use of technology in day-to-day business and personal affairs. While technology has provided unprecedented flexibility in the way we practice, and certainly where we practice, it has also led to significant changes to the relationship-building process. Emails and social media posts have replaced in-person conversations, letters, and telephone calls as the primary modes of communication, and the pandemic solidified the role of remote meetings, hearings, and trials in the future. But, at what cost to the ability of lawyers to build meaningful connections that dictate not only their satisfaction with the job but their success at it? Because younger lawyers, also known as “digital natives,” have had a smart phone in their hands since they were toddlers, technology is part of the fabric of their life. This program explores some of the sticking points lawyers face daily, with a focus on the impact of technology on the ability to develop connections from a generational perspective. Join panelists Natalie Furniss (Nationwide), Jessica Kansky, PhD (Immersion Legal), Robin Reinertson (Blake, Cassels & Graydon LLP), and Thomas W. "Trea" Southerland III (FedEx) who will provide proposed solutions to bridge the gap between the digital natives and those who grew up in an era where making connections required you to be physically present. #iadcmeetings We hope to see you at the Annual Meeting! https://lnkd.in/gjHmUH92
