Well, Merger Mania continues. This was a bit of a shock to me when I saw the notice that Noble is buying Diamond Offshore for $1.6 Billion. Without going too deep into the financials, this appears to be a tremendous deal for Noble in that a relatively young fleet, some great 7th generation drillships all working with a $2.1 Billion backlog on contracts. I suspect we will continue to see shrinkage of both contractors and am anticipating a flurry of OFS companies to be seen. https://lnkd.in/e426S-mC

Noble Corporation is set to acquire Diamond Offshore, creating a U.S. offshore drilling giant! This merger will combine their fleets, resulting in 41 powerful rigs and a massive $6.5 billion project backlog. In this deal, Diamond shareholders will get Noble shares plus cash, making them part-owners of the new powerhouse. Post-merger, they’ll hold 14.5% of Noble’s shares. Noble’s fleet will now include 28 advanced floaters and 13 robust jack-ups, ready to conquer the seas. CEO Robert Eifler says this acquisition will boost innovation and deliver top-notch value to offshore operators worldwide. Aurous is seeking a SPAC IPO on the Nasdaq through US-based Rigel Resources Acquisition with a possible dual listing on the JSE. Not a fan of back door IPOs because of the speculative & potential loss making nature of companies who choose to IPO this way. It’s a way to bypass many of the complexities that come with a traditional IPO making it unfavourable in the eyes of many investors. They were 613 SPAC IPOs in 2021 which represented 63% of all US IPOs at the time, by 2022 they plummeted to 86. Many of those 2021 SPAC IPOs didn’t do to well.

Williams Gets a Crown While Mega Mergers Get Flipped on Their Head The week is shaping up to be a buzzy beehive of news with a steady stream of 4Q earnings reports, more Permian Magic 8 Ball readings (this really needs its own Netflix reality series), and a seductive siren song in the Bakken. Reese Energy Consulting today is following the latest news from a midstream band that’s played longer than the Rolling Stones—Tulsa-based pipeline giant Williams, which closed the curtains on a record-breaking 2023 with a 60% increase in 4Q net income at a kingly $3.273 billion. Following its $1.95 billion acquisition in late December, WMB has now been crowned the Gulf Coast’s largest natural gas storage owner. It’s shiny new prize also happens to include an interconnect to Williams’ pipeline behemoth Transco. Just when you thought we had a half-moment to catch a breath on mergers, speculators are flushed with fever to decipher the next takeover target in the Permian. One of the more interesting scenarios we’ve read: With the ink not even dry on this week’s $26 billion deal by Diamondback Energy for Endeavor Resources , FANG may now be considered aged filet mignon for the likes of Exxon, Chevron, or ConocoPhillips. Then there’s Okla. City-based Devon Energy, which we covered yesterday, whose Permian Delaware assets make up the lion’s share of its revenue. With a 2024 mantra to scale up its shale resources, Devon needs to make a hit record for its shareholders, which will include more investment in its golden goose. But for now, the company is looking North to the Bakken, where it’s flirting with an acquisition of Calgary-based Enerplus in what would become another mega merger that would more than double Devon’s production there. According to one speculator, that’s if Enerplus doesn’t snap up Devon first. What do you think? #MondayFinancialThought Newmont knows what they want Newmont’s announcement of its intention to sell USD 2 billion of what it sees as non-core and Tier 2 assets speaks a lot about the company and its culture. It this program is successful Newmont will have a portfolio of Tier 1 assets. By definition Tier 1 assets have great resources and low technical risk plus operating costs. This sale can provide a win-win. The sale will reduce the debt associated with the acquisition of Newcrest.  The sold assets should be a bargain in the eyes of parties with a higher risk appetite and give Newmont cash for new acquisitions. At Projects RH we expect to see some of the smaller assets being acquisition and float targets.
