Why do you primarily see VC syndicates and not real estate or debt or secondaries syndicates led by SPV GP's? Non VC qualifying investments may require the GP's to register as an ERA/Exempt Reporting Advisor depending how you charge fees and or carry. It sounds like it'd be a hassle but really it's not that big of a deal. Your attorney can help you with the form ADV, ongoing compliance and reporting and it doesn't cost that much to get it all set up for approval. Why limit yourself to just one asset class as a GP when you can offer your investors the ability to diversify in mixed private asset classes?
