Completion of the disposal of #POW’s 49.9% interest in New Ballarat Gold Corporation plc will occur within five days of 11 June 2024. Following Completion: 1️⃣ Power Metal will transfer its holding in NBGC to Red Rock Resources plc (“RRR”) 2️⃣ RRR will deliver £250,000 in convertible loan notes with a conversion price equal to the price of any placement of new ordinary shares of RRR raising proceeds of over £200,000. Should conversion not be undertaken within six months of 8th March 2024, the CLNs of £250,000 are repayable immediately as cash 3️⃣ RRR will deliver 166,666,667 new ordinary shares in RRR to Power Metal, with accompanying warrants exerciseable at 0.25p per share in RRR CEO of Power Metal, Sean Wade, commented: "...For Power Metal, this disposal will further enable the Company to focus and direct its managerial, operational and financial resources on retained high value business interests and new opportunities...” #disposal #POWMet #exploration

Loncor Gold Inc (TSX: LN) (OTCQX:LONCF) (FSE:LO51) shares rallied more than 15% on news that it has agreed to sell its non-core Makapela #gold property in the Democratic Republic of Congo (DRC) for C$13.5 million in cash.  The sale provides it with significant non-dilutive capital to advance its flagship Adumbi gold deposit, also in the DRC, Loncor said in a statement.   Under the agreement, Loncor will receive a series of progress payments beginning with a deposit of C$2 million. The balance will be paid upon completion of the transfer of title to Makapela, which is expected to occur before the end of February 2024. "Loncor has conducted a number of discussions with potential strategic partners over the last 18 months, many of which involved proposals that would have resulted in significant equity dilution," Loncor CEO John Barker said in a statement. 🗞️ NEWS -- Canada Silver Cobalt Works (TSXV: CCW) | (OTC: CCWOF) wholly owned subsidiary Coniagas Battery Metals Inc. has obtained conditional listing from the TSX Venture Exchange in connection with the previously announced spinout by the company of shares and warrants of Coniagas to the shareholders of the Company by way of plan of arrangement under the Canada Business Corporations Act . The Company will now apply to the British Columbia Supreme Court for a final order for the plan of arrangement. ⚒️ 👉 Final approval for the listing of Coniagas on the TSX Venture Exchange and commencement of trading are subject to a number of standard conditions and to closing by Coniagas of previously-announced financings in a minimum amount of $850,000. COLUMBIA: BeMetals Secures £5.5 Million Private Placement with Lead Order from B2Gold Corp. BeMetals Corp. (TSXV: BMET, OTCQB: BMTLF, Frankfurt: 1OI.F) has announced a non-brokered private placement offering of up to 70 million units at £0.08 per unit, aiming to raise a total of £5.5 million. Each unit comprises one common share and one-half share purchase warrant, with each whole warrant enabling the purchase of an additional share at £0.14 within a year of issuance. B2Gold Corp., a related party, is expected to subscribe for £1.1 million to maintain its approximate 19% shareholding in BeMetals. Company directors and officers will also participate in the offering. Steppe Gold Ltd (TSX:STGO, OTCQX:STPGF)’s ATO gold mine in Mongolia is expected to generate total gross revenue of $2.2 billion, based on an updated Technical Report, according to Stonegate Capital Partners analysts.  In an update to clients, the analysts placed a valuation range of C$4.43 to C$5.59 per share on Steppe Gold stock, with a mid-point of C$5.00, based on separate discounted cash flow (DCF) analysis of their mine models for the company.   Highlights from the Technical Report on ATO included an estimated 1.1 million ounces of gold and 11.7 million silver ounces at a grade of 1.13 grams per tonne (g/t) gold and 12.43 g/t silver.   They also noted that the ATO project is expected to produce more than 100,000 ounces of gold annually over an estimated mine life of 14 years.  More at #Proactive #ProactiveInvestors #TSX #OTCQX #STGO #STPGF http://ow.ly/sX0i1055stZ

The funding comprises a $26 million gold loan and $12 million gold stream with Auramet International, as well as a $35 million institutional equity placement pricing new shares at 5c each. The $26 million is to be repaid by 9000 ounces of gold, with the repayment ounces to be adjusted based on the average forward price per ounce of gold over the gold delivery period — September 30, 2025 to August 31, 2026.
