Three common mistakes that agencies make in negotiating financial terms with their clients: (1) Not establishing a mechanism to translate pass-through cost savings into additional earned compensation. (2) Not clearly articulating how the agency will be compensated in the event of early termination. What does an M&A process look like? This is a common question from business owners and advisors unfamiliar with M&A. Here's my list of 15 steps that provides a broad overview: 1. Find a willing owner/seller through referrals from a network of professionals. 2. Understand the owner's goals: business, financial, and personal. 3. Assess the owner's perception of their business value and goal achievability. 4. Sign a mutual NDA. 5. Gather 5 years of financials, tax returns, and W2s. 6. Analyze the business value using databases and public data. 7. Research industry and M&A trends. 8. Conduct a pitch meeting. 9. Discuss value findings with the owner. 10. Sign an agreement and receive an initial retainer. 11. Collect information for pre-due diligence. 12. Set up a data room and prepare marketing materials. 13. Engage potential buyers and solicit LOIs. 14. Conduct due diligence and negotiate the final LOI. 15. Finalize sales documents, close the deal, and celebrate the success.
