Even collaborative contracts can be weaponised. This was the topic of discussion at our last Artful Argument, where Peter Colacino kicked off with a brilliant Opening Argument. As the Australian Ambassador for NEC Contracts® and NSW Project Strategy and Delivery Lead for Mott MacDonald, Peter had a lot to say about this topic! Peter gave us an outline of what collaborative contracting is, where it came from, and how collaborative contracts such as NEC4 enable a different approach - one that supports genuine collaboration through pain-share/gain-share, dispute avoidance boards, and protocols for streamlined decisioning. He also touched on the trend toward consolidation by state governments (GC21 in NSW, for example), the critical role of culture and relationships, and the various ways in which contracts (even collaborative ones) can be weaponised. Here are five ways that collaborative contracts can be weaponised: 1. "The Dump & Burn" - introducing a new contract form with no support. 2. "Misaligned Behaviour" - one party aggressively exploiting the good faith of the other party. 3. "Set & Forget" - failure to communicate openly and regularly, reducing opportunities for collaboration and joint problem-solving. 4. "Let Me Just Tweak it a Bit" - excessive departure from the base contract reduces the collaborative spirit, masking commercial aggression. 5. "Open the Flood Gates" - exploitation of early warning and communication channels to drive up management costs, distract the PM, and reduce scrutiny. In summary: behaviours are more important than contracts in delivering success, but a poor contract can be a barrier to good behaviours.
