Companies often pay plaintiffs' lawyers what is often referred to as the M&A tax – a fee to make arbitrary claims go away so that the M&A deal can move forward. Les dommages-intérêts pour rupture de contrat (retards, défaut de livraison, vices de la marchandise) constituent un risque qui peut être atténué par des clauses contractuelles appropriées.   💡 Les clauses pénales, ou clauses de dommages liquidés, visent à calculer les dommages-intérêts à l'avance pour différents cas de rupture de contrat.
