It was a privilege to welcome Prof. George Bermann as the keynote speaker at our 13th Investment Treaty Arbitration Conference in Prague. In his excellent lecture, Prof. Bermann advised states to eliminate MFN clauses from their treaties and refrain from including them in their new treaties, arguing that MFN clauses do not achieve their stated purposes of enhancing investor protection and ending discrimination between foreign investors. In fairly recent decisions of the BCSC and ASC in NorthWest Copper Corp. and Re DIRTT Environmental Solutions Ltd., respectively, securities regulators have imposed a relatively high bar to proving that shareholders are acting "jointly or in concert" under Canadian securities laws, rejecting in both cases allegations by the issuers (frequently levelled against investors in activist campaigns and contested M&A) against certain of their investors that they were acting jointly and in concert and, thus, in breach of various early warning reporting, take-over bid and other securities regulations.
