When I am representing retail tenants, one of the provisions where I always negotiate the hardest - often to the landlord's dismay - is the assignment provision. As a franchise owner and retail tenant myself for more than 10 years, as well as as an attorney who has been representing business and franchise owners for nearly 30 years, I understand all too well the importance of my retail tenant clients having flexibility in their leases which not only gives them the right to assign the lease to a new tenant in connection with a sale of their business, but also the ability to be released from liability (that is, the tenant AND guarantor being released) after such sale takes place. I don't always get exactly what I want here, but I get something pretty darned close the overwhelming majority of the time. And I'm proud of that success rate. Nothing makes me happier than when I get an email from a client who is facing a particular situation and where they see language in their lease that I negotiated that is really helping them out. One client of mine is is currently negotiating with a prospective buyer for the sale of her two franchised locations. She emailed me to say, "Both I and my prospective buyer's attorney are so impressed with what you negotiated on both of my leases for the assignment of the lease. Specifically, one of my leases allows us to transfer the lease without landlord consent and I am released from Guaranty. The buyer does not pick up the Guaranty. It is significant and very beneficial to me and the buyer. I want to be sure you know it is appreciated, especially to me during this time where I need to move quickly." THESE are the emails that remind me every day why we "fight the fight" to protect our clients' interests during lease negotiations. When they are negotiating their lease, they are not usually thinking about what the lease will say or mean for them in 1, 2, 5 or 10 years when they sell their business. But I am. We are.
