A federal judge in Boston rejected a request for up to $34.1 million in legal fees by a group of private antitrust lawyers who sued to stop the proposed $3.8 billion merger between JetBlue Airways and Spirit Airlines. U.S. District Judge William Young denied the fee request in a brief electric order. Young wrote ‘the plaintiff's motion is denied because in no sense were any of the plaintiffs a 'prevailing party' in this action.’ The airlines abandoned their merger in March after Young sided with the U.S. Department of Justice in a separate government case challenging the deal, ruling that it would harm consumers. One of the lawyers who sought the fees, Joseph Alioto of the Alioto Law Firm in San Francisco, said Young relied on the wrong statute in rejecting their request. Debbie Feinstein, head of the Arnold & Porter's Global Antitrust group, and Jonathan Gleklen, chair of the firm’s U.S. Antitrust/Competition practice, were featured in a Yahoo Finance article about the Biden Administration’s recent antitrust wins, which have prompted executives to reassess new acquisitions in 2024. Feinstein said that the administration's latest rhetoric is “anti-merger,” and as a result, corporate lawyers think some deals may be getting derailed. “Even if they think they can get them through, they think it will take longer, they may have to litigate, and they may want to not have to do that,” she said. Gleklen discussed JetBlue Airways’ acquisition of Spirit Airlines, which was recently blocked by a judge on concerns the merger was anticompetitive and would result in higher prices for consumers. “That’s a more aggressive theory,” Gleklen said, explaining that past airline merger challenges treated commercial air carriers as equals, regardless of the average fare prices. #antitrust #law #legal

From a business law and aviation law perspective, this case is pretty interesting: hostile takeovers, anti-trust suit by the DOJ, and all within the aviation industry. Unless an airline is in danger of a complete collapse, I don't see any consolidation of the "majors" in any fashion. A merger of some of the regional airlines, maybe an acquisition of one by a major - sure - but between the JetBlue and American Airlines alliance, and now JetBlue and Spirit, the courts seem pretty clear that they won't allow anything to alter capacity and/or options for consumers.
