The opportunity to unlock the value of Synergy -Part of a Blueprint for Positive change. I recently wrote an article, Options for Change in 2024- Below- And also came across an excellent article on understanding synergies in M&A by Tawandi Makoni and the potential promise for synergies to create value, but seldom delivered? Before I go onto my main point he interestingly cites the following which reflects what I hear and see. Arriving at an agreed valuation acquisition price/deal is increasingly difficult and extends the time frame for a deal to be finalised and also end the conversations. Sellers are gaining a bigger share of the synergy value. This has consequences in deal structure and input from the seller. To justify the deal buyers are increasing synergy values, increasing acquisition premiums/cost of Costs synergies are being considered more credible than revenue synergies. Buyers are being asked to share synergy value to arrive at transaction price. The article goes on to review Operational and Financial synergies through improved efficiencies or reduced costs but what stands out in the article as an omission is the lack of importance attached to investing time in ensuring the combined team and workforce feel valued, are harnessed by an inspiring vision and purpose. With such risk attached to outcomes and the opportunity to truly create a 2 + 2 = 6 why is this overlooked?
