Directors of companies are duty bound to perform some duties on behalf of companies and could be liable for any failure to do so. My article published in today’s edition of the Business & Financial Times Newspaper outlined the significance of board minutes in proof or otherwise of any claim of breach of directors’ duty of care noting: “Generally, when an obligation is imposed on a person or entity, the proof of breach rests on producing sufficient evidence to show the duty-bound person or entity failed to perform the imposed obligation. In law, the pursuit of such a claim will result in an action for negligence, requiring the proof of duty owed, the breach of such duty, and its resulting damage. Similarly, duties imposed on directors by the Companies Act 2019 (Act 992) measure up to the same standard. For instance, the failure of the board of directors to discharge an imposed duty could result in a negligence suit against the board by a shareholder or the company—subject to the provisions of the Act. Considerably, the Companies Act contains provisions clearly delimiting the scope of directors’ duties, the role of the board of directors in performing these duties, and a list of remedial actions shareholders can take to hold the board accountable for a resulting breach. The Companies Act also clearly outlines the importance of “minutes” of board meetings as providing sufficient evidence of the discharge of the duties imposed on directors. At the basic level, we use one form or another every day to perform tasks, solve problems, communicate with one another, create, share, and store files, memories, etc. Tech has become our best companion in driving efficiency, speed, and productivity. AI is Tech, too. It is a new form of Tech with limitless possibilities and potential. It is revolutionizing the “hows” of every traditional task, enabling new ones and increasing fluency in outputs. It is transforming our world at the fastest rate and scale ever witnessed by mankind. And exhibiting some form of intelligence comparable to human intelligence. In real terms, it is changing how financial services are designed and offered, facilitating new medical research, increasing efficiency in the manufacturing of goods and delivery of services, disrupting legal service provision, and advancing innovations in mobility, military warfare, policing, and cybersecurity, among others. Every industry, possibly every task, is in sight and within reach of experiencing the transformative power of AI. It has become the most advanced and effective tool we can leverage to get better at what we do. Despite being this powerful, AI remains a “tool” just like all “Tech(nologies)” before it. You must apply its potential to a particular use case to drive the desired benefit. You must understand how its enabled products and services could help in your professional and entrepreneurial pursuits to leverage it. You must build the skill sets to use it in the most effective manner. And you must exercise judgment on its outcomes and control its use. AI in itself means nothing. It is only useful when applied in the right manner and context to a specified use case.
