We closed this deal in under two weeks 👀 . We've actually completed nearly all of our financing rounds in a similar timeframe, and I'm often asked how that is possible. It certainly isn't magic, but it does require: (1) Proactive planning: We always enter fundraising with a full suite of pre-prepared diligence materials and disclosures even in advance of term sheets. Not sure what to prepare? Ask corporate counsel for their current standard diligence lists, or better yet, get a couple but you know your businesses best, so use your judgment and don't wait to be asked. And if you've been through a round of financing before, endeavor to keep your prior Schedule of Exceptions (disclosures) evergreen. (2) Nimble advisors: Our corporate counsel (Goodwin) now knows the drill -- we keep the pen, and deliver drafts of deal docs the day after we sign a term sheet. This creates a dynamic where diligence counsel has everything they need to evaluate the deal from the moment the term sheet is signed. And we've be fortunate to be able to have diligence counsel (and sometimes have even recommended that our investors work with diligence counsel like Gunderson Dettmer) that is on the same page re both thoroughness and getting to a quick close. (3) Partnership with Investor Legal: Each of our investors have been major cheerleaders of Rippling, have signed clean term sheets, and critically, have had legal teams willing to partner to ensure we consummate a fair deal. Making sure that in-house legal is on the same page as you can be the difference between 1 turn instead of 5 turns on docs, and minutes to a decision instead of days. If they say that "time kills all deals," the following folks (and many more) helped us eliminate time. And while I know we continue to work on post-close items, taking a moment to pause and say, thank you! It will be interesting to see what (if any) anti-dilution protections were included in the last financing rounds. The class of 2015 included several companies where the last class of preferred included significant ratchets in case the valuation at IPO was down from the last priced private round...

"The hurdle for Series A funding is a lot higher than it was a year ago — and investors in seed-stage companies are having to respond." That was the first sentence of a TechCrunch article I read recently. And we're seeing it firsthand at York IE. Series A investors have either remained on the sidelines or raised the floor in terms of the metrics required to fund companies. So we are spending a lot of time with our portfolio companies that are caught in the state of limbo this has created. The good news is, founders are becoming more thoughtful in regards to efficient growth and finding a path to profitability vs. pursuing growth at all costs. A company that might have defaulted to "we need to raise a Series A" in the past may now realize that they only need a bridge round to get to profitability. And then they won't have to raise anymore. I'm also cautiously optimistic that M&A activity will increase in the sub-$250M market this year, which could be a good path for some companies. 2023 was a tough year, but we knew it was coming and were prepared. I have a very positive outlook for 2024 and am excited for what's to come.
